California LLC formation requires more than filing articles and obtaining an EIN. A new LLC also needs an initial Statement of Information and a plan for California tax obligations. For international founders, those recurring costs should be considered before submitting the formation application.
This guide covers a new California LLC. An existing LLC formed elsewhere should first assess California foreign registration, which is a different filing.

Confirm that this is the right entity and state
Start with the planned activity, operating location and owners. Regulated professions may have entity restrictions or licensing requirements that an ordinary LLC filing does not resolve.
Forming in another state is not a reliable way to avoid California obligations when the business operates in California. Conversely, a founder with no California connection should understand why California is being recommended before accepting its recurring costs.
Give your adviser a clear description of employees, offices, inventory, services and customer activity. Ownership abroad does not answer the California tax or registration question by itself.
Prepare the articles
Check the name and its required LLC designation. Choose an eligible agent for service of process and obtain the correct address and consent arrangements.
Prepare the principal and mailing addresses and decide whether the LLC will be managed by members or managers. Review the state's instructions for each field and the public nature of filed information.
Submit through the official Secretary of State route. Keep the accepted articles and verify the legal name and entity number before preparing the next filings.
Complete an LLC name search alongside trademark and commercial checks before committing to the proposed name.
File the initial statement and keep internal records
Calendar the initial Statement of Information immediately after formation. Do not assume it was included in the articles filing or completed by an agent unless your engagement explicitly says so.
Prepare the operating agreement and keep it with company records. It should match the selected management structure and actual ownership. California's entity-type guidance explains that the agreement is maintained by the LLC rather than filed with the Secretary of State.
Then address the EIN, banking documents, bookkeeping and any activity-specific permits.

Plan the first tax payment accurately
The FTB generally requires the first annual tax by the fifteenth day of the fourth month from the date of filing with the Secretary of State. Its current guidance distinguishes this from later annual payments and the additional LLC fee.
The broad first-year $800 exemption applied to specified tax years beginning in 2021 through 2023. It should not be presented as a general exemption for an LLC formed in 2026. Other specific exceptions require their own eligibility assessment.
The additional LLC fee begins at the applicable $250,000 California total-income bracket; it is not simply a tax on net profit. Confirm classification, apportionment and Form 568 obligations with the preparer using the FTB instructions.
Build a first-year handoff checklist
Keep the accepted articles, initial statement confirmation, operating agreement, EIN evidence and tax payment records together. Assign responsibility for each future deadline and record which tasks your provider actually handles.
For a late-year formation, ask about the consequences before choosing the effective date. A low-revenue launch can still have compliance costs.
