California State Tax Filing for LLC Owners

California state tax filing for an LLC can involve an annual tax, an income-based LLC fee and a return. For an LLC taxed as a partnership or disregarded entity, the general annual tax is $800, and an additional LLC fee can apply when California-attributable total income reaches $250,000. Corporate-taxed LLCs follow a different return framework.

The phrase California LLC franchise tax is often used loosely. Identify which payment is meant before paying: the annual LLC tax, the additional LLC fee or a corporate tax obligation.

California state tax filing: separate the payments

Item General purpose
Form 3522 payment $800 annual LLC tax under the applicable LLC rules
Form 3536 payment Estimated additional LLC fee when applicable
Form 568 LLC return for the applicable noncorporate tax treatment
Corporate return Different route for an LLC taxed as a corporation

The additional LLC fee uses the state's defined total-income measure, not simply accounting profit. Review the Form 568 instructions for the calculation, California attribution and applicable schedules.

Do not assume the first year is exempt

California's temporary first-year annual-tax exemption applied to specified years beginning in 2021 through 2023. It is not a general exemption for a new LLC formed in 2026. Likewise, having no revenue does not automatically remove the annual tax for a registered or doing-business LLC. FTB LLC rules.

For example, a company formed late in the year should review its actual first taxable period and any specific exception. Do not base the budget on a social post saying all first-year LLCs are free of the $800 charge.

Use the correct deadline for each obligation

The annual tax generally falls on the fifteenth day of the fourth month of the taxable year. The estimated LLC fee generally falls on the fifteenth day of the sixth month. Return deadlines depend on classification and ownership: do not assign the same Form 568 deadline to every LLC. FTB business due dates.

Write the tax-period start and end dates on the calendar. An extension to file a return does not automatically extend the time to pay the tax or estimated fee.

Prepare California activity and ownership records

Gather the federal return or draft, California receipts, business locations, owner details, distributions and prior payments. An out-of-state formation does not by itself eliminate California obligations where the company is registered or doing business.

Read the California foreign registration guide if an existing out-of-state LLC is expanding into California. Entity qualification and tax nexus are related but separate analyses.

Keep the statement and closure tasks separate

The California Statement of Information maintains the Secretary of State record; its payment does not settle FTB tax. If the LLC stops operating, follow the California closure guide and the FTB's final-return conditions. Simply letting the company sit unused can leave recurring obligations unresolved.
