Delaware LLC Registration for Global Founders

Delaware LLC registration for an international founder involves choosing a compliant name, appointing a Delaware registered agent and filing a Certificate of Formation. The current base government filing fee is $110. Once formed, the LLC also has an annual state tax and other obligations that should be planned before registration.

This guide explains the formation sequence and what you should receive from it. It concerns creating a new Delaware LLC, not registering an existing non-Delaware entity to operate there.

Before Delaware LLC registration: choose the right structure

Start with the owners, activity and funding plan. An LLC may suit some businesses, while a corporation or another structure may be more appropriate for others. Do not confuse a Delaware LLC with a Delaware corporation when following advice about investors or shares.

Also consider where the business actually operates. If it has operations requiring registration elsewhere, Delaware formation does not replace those obligations. The SBA's registration guidance explains registration across states.

For an international founder, banking eligibility and home-country tax treatment deserve attention before paying for formation. A state's acceptance of the filing is not approval from a bank or a tax conclusion for the owner.

Step 1: choose and check the LLC name

Review Delaware's naming requirements and search the official business registry for availability. Include an allowed LLC designation and avoid relying on a domain-name registration as evidence that the entity name is available.

A name reservation is optional, not an automatic prerequisite to filing. Delaware describes a $75 reservation lasting 120 days. If you are ready to file, consider whether reserving adds value to your situation. Delaware formation instructions.

Check your branding needs separately. A state entity-name search is not the same exercise as evaluating trademark rights.

Step 2: appoint a Delaware registered agent

The registered agent must meet Delaware's requirements, including a physical street address in the state. Agree on the service before putting the agent's details into the formation document.

Ask how notices are delivered, what renews and whether ordinary mail handling is included. If you need a business mailing service, ask about that specifically. Do not assume that the registered office can be used as a physical operating address for every bank or government form.

Keep the service agreement and renewal date with the company's records. A reliable process for receiving notices matters after the initial registration is complete.

Step 3: prepare the Certificate of Formation

Use Delaware's official LLC formation form and instructions. The standard certificate identifies the LLC and the registered office and agent, and it must be executed by an authorized person. Complete the accompanying submission information required by the chosen route.

Review the legal name and agent details before signing. Formation documents, an operating agreement and later IRS applications have different purposes, so do not assume that the short state certificate contains every ownership or tax detail you will need.

The person authorized to submit or sign a filing is not automatically an owner. Keep authority and ownership documented separately.

Step 4: submit the filing and pay the fee

Delaware provides filing instructions through its Division of Corporations, including document submission options. Follow the current official process or the agreed provider workflow.

The current domestic LLC formation fee is $110 under the August 2026 Delaware fee schedule. Certified copies and expedited services cost extra when selected. An existing entity seeking foreign registration uses a different filing and fee; do not select that route merely because the owner is foreign.

Ask for a realistic processing estimate based on the filing method and current workload. Expedited state processing, if purchased, does not automatically accelerate IRS or bank review.

Step 5: collect and check the approved documents

Save the approved Certificate of Formation and filing receipt. Verify the name, approval or effective date and any details shown on the filed copy. Keep the Delaware file number available for future state transactions.

If a provider files for you, make sure you receive the actual approved document and understand how to obtain any additional certified copy or status certificate you genuinely need.

Do not buy extra documents simply because they sound important. Ask the institution requesting them what form and recency it requires.

Step 6: prepare company records and apply for the EIN

Create an operating agreement suited to your ownership and management arrangements. Maintain ownership records and a clear record of money contributed to the business.

After state formation, obtain the EIN through the appropriate IRS method. The IRS does not charge an EIN application fee. An international founder's route depends on the responsible party and the applicant's location circumstances. IRS EIN guidance.

Use the approved legal name consistently in banking and other applications. Retain the EIN confirmation with the state records; it does not replace them.

What does a Delaware LLC owe each year?

A Delaware LLC pays the state's annual LLC tax and does not file the annual report required of Delaware corporations. The current LLC annual tax is $400, due June 1 for the preceding calendar year. Older guides may quote $300. This article uses the current amount confirmed by section 18-1107 of the Delaware LLC statute. The tax is not prorated for a partial year, so take particular care when budgeting a company formed near year-end.

The agent's renewal charge is separate unless your provider explicitly includes it. Federal returns, bookkeeping, other-state registrations and home-country obligations also remain separate questions.

Do international owners need a BOI report for this LLC?

Under current FinCEN rules, entities created in the United States are exempt from BOI reporting. A Delaware-created LLC falls in that US-created category even if its owner lives abroad. This does not remove IRS filings or other recordkeeping duties. FinCEN BOI guidance.

What should a Delaware formation package include?

Ask for a written list covering the state filing, provider service, registered-agent term, EIN assistance if included, document delivery and renewal prices. Confirm whether an operating agreement is included and whether it is appropriate for your ownership arrangement.

For tax work, ask which forms are separately quoted and who will prepare and submit them. For bank assistance, confirm the scope without assuming approval.
