LLC Changes and Closure

How to Dissolve an LLC in Ohio: Filing and Final Tasks

If you are researching how to dissolve an LLC in Ohio, first check where the LLC was formed. A domestic Ohio LLC uses the state dissolution filing, listed as Form 616 with a $50 fee. An out-of-state LLC ending its Ohio registration uses the foreign cancellation route, listed as Form 618 with a $50 fee.

Neither form is a substitute for winding up the business's financial and contractual affairs. State filing, tax-account closure and settling obligations are related tasks with different evidence.

How to dissolve an LLC in Ohio: choose the correct exit

Situation Starting route
Ohio-formed LLC ending the company Domestic dissolution
LLC formed elsewhere leaving Ohio only Cancel Ohio foreign registration
Company continuing with a new owner Review transfer documents, not automatic dissolution

Read the Ohio LLC guide and current form instructions before filing. If the business is continuing, our ownership transfer guide may be more relevant than closure.

Approve the decision and plan the wind-up

Review the operating agreement and applicable approval rules. Record the members' decision and who can act for the company. List open contracts, customer refunds, employee obligations, loans, leases and assets before selecting a final closing date.

Do not distribute the remaining bank balance simply because there are no new sales. Reserve for known bills, tax work and unresolved claims. If the company cannot pay its obligations or the owners disagree, obtain appropriate legal assistance before proceeding with distributions.

Prepare the state filing

Match the legal name and entity number to Ohio's record. Use an authorized signer, the correct entity-type form and any permitted effective-date option appropriate to the plan. Review the instructions for required statements rather than copying a corporation's dissolution checklist.

Submit the filing and retain the accepted document. A payment receipt or a saved draft is not the same evidence as acceptance. Keep statutory-agent coverage for the period and purposes still required during the wind-up; cancelling a subscription does not itself complete the state process.

Finish tax and operating accounts

Ask the tax preparer which federal, state and local returns need final treatment. Payroll, sales-tax accounts and information returns may continue to need attention even after customer work ends. A business with no income can still have filing obligations; see the no-income LLC guide.

The IRS business-account closure guide explains the separate federal step. Do not assume Ohio forwards your dissolution to every tax agency, bank or licensing authority.

Save a closing record

Keep the owner approval, accepted state filing, creditor settlement records, final returns and account-closure confirmations. Record where future correspondence will be received. Close the bank account only after the final collections, payments and expected refunds have been considered.

If the company holds registrations in other states, review each separately. Ending an Ohio LLC and cancelling every out-of-state authority are not automatically the same transaction.

For a business formed in Oklahoma that is only leaving Ohio, review the Oklahoma dissolution guide only if the entire home-state company is also closing.

Keep this checklist with your company records. If you are planning a new LLC alongside these decisions, contact PrimeRegister to discuss the formation paperwork and service scope.
