How to dissolve an LLC in Texas involves winding up the business and filing a Certificate of Termination, commonly Form 651. The Secretary of State lists a $40 filing fee. For a taxable entity, the required Comptroller certificate for termination is not the same as a printed online account-status page.

Plan the tax and state filings together. A certificate that is not valid through the intended effective date can cause a problem even if the company name and payment are correct.
How to dissolve an LLC in Texas: prepare the closing plan
Record the approval required by the company agreement and applicable law. Identify who will handle the wind-up, sign the state filing and keep records. List creditors, contracts, employee obligations, receivables and assets before distributing funds to members.
For a company with disputes, unresolved claims or insufficient money to pay obligations, get legal assistance. The termination form is not a substitute for handling those issues.
Obtain the correct Comptroller certificate
Use the Comptroller's termination guidance to complete the necessary tax-account work and obtain the certificate of account status for termination. The document commonly referenced is Form 05-305.
| Document | What it establishes |
|---|---|
| Ordinary online account-status display | Current information; not the required termination certificate |
| Comptroller termination certificate | Required tax-status evidence for the applicable termination filing |
| Accepted Form 651 | Secretary of State termination record |
| Final tax returns | Separate tax reporting evidence |
Review the Texas LLC tax filing guide for franchise-tax and information-report distinctions. Being below a tax-payment threshold does not automatically mean every filing or closing requirement disappears.
Complete Form 651 after the wind-up
Use the legal name and file number from the Texas record. Follow the form's statements about the event requiring winding up and completion of the wind-up. An authorized manager or managing member signs for an LLC as specified in the instructions; the registered agent is not automatically the authorized signer merely because of that appointment.
Confirm the effective date and certificate validity, attach the required evidence and submit through an accepted state filing route. Keep the accepted termination and payment receipt. Check the resulting entity status after processing.
Close remaining accounts separately
Review payroll, sales-tax permits, local licenses, bank accounts and registrations in other states. The state termination does not send a complete closing package to every agency or service provider.
Use the IRS business-account closure guide for the separate federal process. Keep bank access until outstanding payments, collections and potential refunds have been planned. Retain a secure accounting export before cancelling software.
An LLC formed outside Texas that is only leaving Texas should review foreign withdrawal instead of treating domestic Form 651 as a universal exit form. For an original Texas LLC, the Texas formation guide helps identify the accepted documents and entity information needed to begin the closure accurately.
