Oklahoma LLC Annual Certificate: Fee and Filing Guide
Check the $25 state fee, anniversary deadline, required information and filing confirmation process for an Oklahoma LLC annual certificate.

An Oklahoma LLC annual certificate is a recurring state filing with a $25 government fee. It is generally due on the anniversary of the LLC's original formation filing or Oklahoma registration. It confirms the business's status and principal business address; it is not a federal income tax return.
If you own the company from outside the United States, the annual certificate still needs attention. The owner's location does not turn an Oklahoma registration into a one-time obligation.

Who must file the Oklahoma LLC annual certificate?
Oklahoma requires the annual certificate from domestic LLCs and foreign LLCs registered to do business in the state. In this context, a foreign LLC can mean one formed in another US state. The filing requirement continues until the relevant cancellation or withdrawal rather than ending merely because sales stop. Oklahoma Title 18, section 2055.2.
This is different from ordering a certificate of good standing. One is a recurring maintenance filing; the other is a document you may request as evidence of the company's status.
What is the due date?
The regular deadline follows the anniversary date of the formation or registration filing. For example, an LLC whose relevant filing date is November 18 would normally calendar November 18 each year, rather than January 1 or a general tax-season deadline.
For a newly formed LLC filed on November 18, 2026, the first ordinary anniversary would be November 18, 2027. Check the state record for the actual date and any unusual circumstances.
Oklahoma provides for emailed reminders, but maintain your own calendar. A changed email address or missed message should not be the reason you discover an overdue filing. The state's LLC instructions summarize the annual certificate requirement.
How much does it cost?
The ordinary government annual-certificate fee is $25. A third-party provider may charge a separate preparation or submission fee. Before paying a service invoice, check whether it includes the state charge and whether it covers only this certificate.
If the company is already overdue or has lost its status, do not assume that a normal $25 transaction will resolve every issue. Check the record and the state's applicable reinstatement procedure first.
Gather these details before you start
Have the exact legal name, Oklahoma filing number, current principal business address, company email and an authorized signer's information available. Also keep last year's filing and payment record nearby.
Check that the company selected in the registry is yours. Similar names are common; the entity number provides an important cross-check.
Review any change of registered agent separately. Maintaining an agent and filing an annual certificate are related compliance tasks, but do not assume that every desired change can be made through the annual-certificate workflow.
How to file through the state
1. Start from the official filing directory
Open the Oklahoma Secretary of State business filing page and select the annual-certificate option. Starting with the official directory helps distinguish a government filing from a private offer to do it for you.
2. Identify the company and filing year
Locate the correct entity and confirm the period you are addressing. If there are multiple missing years or a status problem, resolve which procedure the state requires before submitting a routine current-year filing.
3. Review the business information
Check the principal address and contact details against current company records. Use an email inbox that the business will continue to control. Do not supply sensitive personal information in a field that does not request it.
4. Complete authorization and payment
Follow the current portal's certification and payment instructions. Review the total before payment so you know which charges apply to the transaction. If someone else files for you, confirm that they are authorized and understand the information supplied.
5. Save the result and verify the record
Keep the confirmation and payment receipt, then check the business record after processing. A saved application or bank charge alone may not tell you whether the filing was accepted correctly.
Add next year's anniversary deadline to your calendar and keep the filing in a folder named by year.
What if the certificate is late?
Under section 2055.2, failing to file and pay within sixty days after the due date causes loss of good standing or registered status as applicable. If you have missed a year, first identify the present status and outstanding periods. Then follow the state's procedure or seek help for that specific situation. Do not register a replacement company merely because the old record shows a problem without understanding the consequences.
What the annual certificate does not complete
Keep separate reminders for registered-agent renewal, any tax returns, licenses and obligations outside Oklahoma. A foreign-owned LLC may have IRS information-reporting requirements even though its state annual certificate contains little financial information.
If you have stopped using the LLC, review formal closure and final-filing requirements. Simply ignoring the next reminder is not a clean closure process.
A manageable filing routine for a solo owner
Set an early reminder thirty days before the anniversary. Use it to check the address, company status and who will submit the filing. After submission, save the evidence and mark the task complete only when you have verified the outcome.
