Virginia LLC Annual Registration Fee: Payment Guide
A practical guide to Virginia’s $50 LLC annual fee, payment records, late consequences and separate maintenance tasks.

The Virginia LLC annual registration fee is $50. An ordinary Virginia LLC pays this fee to maintain its state registration; it does not file the annual report required of Virginia corporations. The distinction matters when a reminder or provider describes every yearly task as an “annual report.”
Your payment is generally due by the last day of the month in which the LLC was formed or registered in Virginia. The State Corporation Commission, or SCC, shows the applicable obligation on the entity's record. SCC annual registration fee guidance.

The SCC assesses the annual fee in advance of its due date. Its guidance states that the obligation starts in the years after formation or registration. Use the due date attached to your actual record, especially after a conversion, reinstatement or other structural change.
Plan to pay before the last day. The SCC's guidance says the annual registration fee is due regardless of whether the deadline falls on a weekend or holiday. An early reminder is more reliable than assuming an extra business day will be available.
Does this apply to an LLC formed outside Virginia?
An LLC formed elsewhere and registered in Virginia should also check its Virginia annual fee. In this context, “foreign LLC” means an entity formed outside Virginia. It does not simply mean that its owner lives outside the United States.
A Delaware LLC registered in Virginia can therefore have obligations in both states. Paying Delaware's annual tax does not pay Virginia's registration fee. Likewise, a Virginia payment does not maintain the Delaware formation record.
Keep a state-by-state list if your business operates in several jurisdictions. Give each record its own entity number, deadline, receipt folder and responsible person.
How to pay the fee online
1. Find the correct entity
Open the official Clerk's Information System. Use your LLC's legal name or SCC entity identifier to locate it. Compare the details with your approved formation or registration document before proceeding.
An EIN is a federal identifier. It is not interchangeable with the SCC's entity number. If a search returns similarly named businesses, check the jurisdiction and record carefully.
2. Review the payment due
Look for the annual registration fee payment function and the amount attached to the LLC. Check whether a late fee or another balance appears. Do not assume that every total above $50 is an optional provider charge; the state record may include a delinquency.

3. Submit and keep the receipt
Review the entity and payment before authorizing it. Save the confirmation and record which annual obligation it covers. If a provider submits it, ask for the government confirmation as well as the provider's invoice.
For an owner overseas, this distinction is useful. A service invoice tells you what you purchased; the filing or payment confirmation tells you what the government received.
4. Check the business record separately
Payment is also a good occasion to review the registered agent and contact information. Do not assume that paying the fee updates an address or changes the agent automatically. Use the appropriate change filing where required.
What happens after the deadline?
A late payment adds $25 to the LLC's annual registration fee. The SCC also explains that an LLC's existence or Virginia authority can be canceled if the fee remains unpaid through the last day of the third month after the due date. SCC business-maintenance guidance.
For example, an April 30 deadline should be treated as an April payment obligation. The later cancellation timeline is not an extension that makes July an acceptable routine payment month.
If the record already shows cancellation, investigate reinstatement. Do not assume that sending $50 alone restores the company. Review the SCC's requirements for the specific status and any outstanding years.
No income does not mean no annual fee
The registration fee concerns the company's state registration. It is not calculated from profit. A business that has not made a sale should still check the annual obligation rather than treating “inactive” as a filing status it can choose informally.
If the company is no longer needed, review a formal closure or withdrawal process. Stopping payments and waiting for cancellation can leave unresolved tax, contract or administrative work.
Before closing anything, identify whether Virginia is the LLC's formation state or only an additional registration state. Ending an additional state registration is different from closing the underlying company everywhere.
What the $50 payment does not cover
It does not purchase a private registered agent subscription, complete federal tax filings or renew every local business license. Keep those items separate in your budget.
For example, a founder may pay the SCC directly and also pay a provider to serve as registered agent. Those payments can both be legitimate because they purchase different things. The important question is whether a provider's quote includes the government charge or bills it separately.

- Review address or management changes that need a separate filing.
- Check federal, state and local tax or licensing obligations.
