Wyoming vs Delaware LLC for Non-Residents

When comparing Wyoming vs Delaware LLC options as a non-resident, start with business fit and recurring costs. Wyoming has a lower minimum annual state charge. Delaware may be chosen for specific legal or commercial reasons, but forming a Delaware LLC is not automatically the right answer for a founder who expects to raise investment.
The decision also depends on where you actually operate. If your business needs registration in another state, either choice can add a second set of obligations.

When Wyoming deserves a closer look
For a founder with no operating presence requiring registration elsewhere and a simple ownership structure, Wyoming's lower minimum maintenance charge can be a practical advantage.
Its annual license tax is the greater of $60 or two-tenths of one mill per dollar of assets located and employed in Wyoming. In decimal form, that is Wyoming assets multiplied by 0.0002. For illustration, $500,000 of relevant Wyoming assets would produce a $100 charge rather than the $60 minimum. Use the state's asset instructions instead of assuming all assets everywhere belong in that calculation.
If your business has little administrative capacity, also compare the agent's renewal process and the support available when a notice arrives. Saving on the state fee is useful only if the overall setup remains workable.
When Delaware deserves a closer look
Delaware may fit a structure chosen with legal advice, a transaction involving particular contractual requirements or a business plan in which counterparties have a reason to prefer that jurisdiction.
Ask what specific benefit matters to your company. “Large companies use Delaware” is not enough to establish that a small international service business should use it too.
An LLC and a corporation are different entity choices. If you expect outside investment, employee equity or a particular financing structure, discuss the entity type with counsel before deciding the state. Do not buy an LLC simply because advice aimed at venture-backed corporations recommends Delaware.
Delaware's current LLC annual tax is $400. Older articles and even some older state FAQ text may still show $300. This guide follows the current Delaware statute, section 18-1107, and current payment guidance.
First check whether your operating state changes the answer
Suppose a founder lives abroad but has employees and an office in another US state. Comparing Wyoming and Delaware alone would omit a central question: whether the company must also qualify and maintain compliance where it operates.
A registered-agent address does not move employees, inventory or an office to that state. The SBA's registration guidance explains that doing business in additional states can require further registration.
List your actual footprint before choosing: work locations, employees, property, inventory and planned expansion. Then identify the registrations and tax questions those facts create.
Which state is better for banking?
A state choice alone cannot promise account approval. Your ownership, residence, business activity, documentation and the institution's policies matter.
Before forming, ask the institution you intend to use whether your situation fits its requirements. After forming, keep the approved name, ownership records and address information consistent. A provider that offers application guidance should explain that the final decision belongs to the institution.
Choose a state for a documented reason rather than an unverified claim that it automatically unlocks a particular payment service.
Does either state make the business tax-free?
No state formation choice, by itself, establishes that an international founder has no tax obligations. Federal income classification, the nature and source of income, business activity and the owner's home-country rules require separate analysis.
For US purposes, a single-member LLC's default classification differs from that of an ordinary multi-member LLC. Information reporting can also exist independently of income tax due. IRS LLC classification guidance.
Put the claim “no tax” aside until someone has explained what tax, for which person or entity, in which jurisdiction and under which facts.
Compare the complete renewal cost
At current rates, formation plus one minimum annual state cycle totals $160 in Wyoming and $510 in Delaware. This limited comparison excludes registered-agent service, federal filings, bookkeeping, optional documents, payment charges and other-state obligations.
Get separate renewal figures from your provider. A package may bundle the state charge with an agent service, or it may bill them separately. Check the date each item becomes payable.
Delaware's calendar-year tax schedule also means that a late-year formation can produce a June deadline relatively soon after formation. Avoid comparing the states as if every charge follows the same anniversary calendar.
A practical decision checklist
Choose only after you can answer these questions:
- Where will the business actually operate?
- Is an LLC the appropriate entity for the owners and funding plan?
- What are the formation and recurring costs, including services?
- Is there a specific legal or commercial reason to prefer Delaware?
- Have you checked banking eligibility without assuming approval?
- Who will maintain records and track filings in every relevant jurisdiction?
For a straightforward business with no special Delaware requirement, the lower Wyoming government cost is a reasonable factor to weigh. It is a starting point for the decision, not a universal recommendation.
