EIN for a Multi-Member LLC: Application Preparation
An EIN for a multi-member LLC identifies the company for federal tax administration. For an ordinary domestic LLC with two or more owners and no corporate election, the usual federal default is partnership treatment. The application should reflect the actual entity, member count and classification—not the entry that seems easiest to submit.

Form the legal entity first and then follow the current IRS EIN process. A foreign-owned US LLC is still US-formed for this purpose; ownership residence and formation jurisdiction are different facts.
EIN for a multi-member LLC: gather the facts
| Application fact | Record to consult |
|---|---|
| Legal name | Accepted state formation document |
| Member count | Current signed ownership records |
| Tax classification | Default rules and any valid election |
| Responsible party | Actual ultimate control under IRS criteria |
| Business address | Accurate address for the relevant field |
| Start date and activity | Formation and operating records |
The Form SS-4 instructions explain the LLC questions and classification entries. Read the instructions for the specific line instead of copying another founder's completed form.
Select the responsible party correctly
The responsible party generally is the individual who ultimately owns or controls the entity and exercises effective control over its funds and assets, subject to the IRS rules. It is not automatically the person typing the application or the registered agent.
For two founders, identify the appropriate person based on actual authority. Do not use an unrelated person's SSN to make the online system accept an application. Our EIN responsible party guide explains nominees and authorized assistance.
Use an application route you qualify for
The IRS online system has eligibility requirements. International applicants who do not qualify must use the appropriate alternative route under current instructions.
If the responsible party lacks an SSN or ITIN, the SS-4 instructions permit the specified foreign entry only when the person both lacks and is ineligible to obtain those identifiers. That is not a universal substitute for everyone without a number. See the SS-4 international guide for the full walkthrough.
Submit one accurate application and keep the submission evidence. Repeated applications can create conflicting records rather than speeding up a pending case.
Prepare for the reporting that follows
Receiving an EIN does not complete partnership tax work. The LLC may need Form 1065 and partner schedules, and foreign partners can create additional withholding questions. Read the multi-member nonresident tax guide before the first filing season.
Keep the EIN confirmation with the operating agreement and accepted articles. A bank may request all three, plus identification and business evidence. The number alone does not guarantee approval.
Review later ownership changes
If the company adds or loses members, review classification and EIN consequences for the actual transaction. Do not assume every percentage change needs another EIN. Use when an LLC needs a new EIN before applying again.
