Florida Foreign LLC Registration: Documents and Fees
A step-by-step guide to the documents, state charges and annual maintenance for an existing LLC entering Florida.

Florida foreign LLC registration is the process for an existing LLC formed outside Florida to obtain authority to transact business there when required. The standard government charge is $125: a $100 filing fee plus a $25 registered agent designation fee.
The $25 designation charge is paid to the state. It is not a year's subscription to a private registered agent. Keeping those charges separate helps international founders compare quotes accurately.

Florida foreign LLC registration: documents and fees
Florida's official foreign LLC application and instructions set out the required package. The supporting certificate of existence must be no more than 90 days old. A certificate in another language needs an English translation under the translator's oath.

Do not add optional documents to your total as if every applicant must buy them. Decide whether a bank, contract or internal record actually requires a certified copy or status certificate.
What does foreign mean here?
It means the LLC was formed outside Florida. A Wyoming LLC is foreign in Florida even if its owner is a US citizen. A Florida LLC does not become foreign for this filing merely because its member lives overseas.
The application registers the existing company. It does not create a second LLC or automatically move the company's formation state to Florida.
Keep the original formation record and Florida registration in the same company folder, clearly labeled. Both can matter when a bank or customer asks where the business is formed and where it is authorized to operate.
Check whether your activities require registration
Review the issue before establishing Florida operations. An office, people working locally or continuing in-state business activity can justify a closer assessment. Simply selling through a website is not a complete legal test.
Florida law identifies activities that do not, by themselves, constitute transacting business for this purpose. The qualification rules do not settle every tax or licensing question. Read the applicable facts alongside Florida Statutes section 605.0905.
If the business already started operating, record the real start date. Do not choose a later date just to make the application appear simpler. Earlier activity can raise additional compliance issues that need to be addressed directly.
Prepare the application step by step
1. Confirm the name and home jurisdiction
Use the LLC's current legal name, including its entity ending. Compare it with the certificate of existence. Investigate an acceptable alternate name if the ordinary name cannot be used in Florida.
Check the jurisdiction carefully when a company has changed form or moved through a formal conversion. The owner's country of residence is not a substitute for the LLC's formation jurisdiction.
2. Gather the addresses and responsible-person details
Prepare the principal office and mailing address, along with the authorized people requested by the application. Use the instructions for any additional attachment rather than squeezing incomplete information into a field.
Keep each address tied to its actual role. A registered office for legal notices is not automatically the place where the company conducts its daily work.
3. Arrange a Florida registered agent
The registered agent must have the required Florida street address and accept the appointment. Confirm the details and acceptance before submitting. Do not list a provider merely because you found its address online.
Ask how legal notices are delivered to you and what the annual service costs. If an overseas founder changes email addresses, updating the provider is just as important as paying the renewal.
4. Check the certificate's issue date
Order the home certificate with the filing timetable in mind. A document that was valid when you began preparing the application can become too old before submission.
If a translation is needed, arrange the required sworn translation rather than using an informal machine-translated page. Keep the source document and translation together.
5. Submit through the official filing route
Use the foreign LLC application linked from the Sunbiz LLC forms directory. The current directory provides a PDF application with mailing instructions. Do not assume the domestic LLC online formation form is the correct foreign-registration route.
Follow the current payment and delivery instructions in that application. Keep a copy of the full package, tracking where applicable and the accepted filing once returned. Check current processing information before promising an operational start date.
Annual reports after registration
Florida's recurring LLC annual report is separate from the initial foreign registration. The ordinary fee is $138.75, and reports filed after May 1 generally incur an additional $400 late fee. Add the annual report to your calendar when approval arrives, not when the first reminder appears. Review management, addresses and registered agent details each time you prepare the report.
Keep the home-state obligations too. A Delaware LLC registered in Florida, for example, can still have Delaware maintenance alongside its Florida annual report.
What registration does not complete
Qualification does not automatically handle federal tax filings, Florida tax accounts, employment registrations or industry licenses. Assess those based on the company's actual activity and tax classification.
It also does not guarantee bank or payment-provider approval. Financial institutions perform their own checks and may request documents beyond the certificate of authority.
For budgeting, separate entry costs from annual costs. Include the government application, any supporting certificate or translation, agent service and recurring reporting. Avoid describing $125 as the entire cost of operating the LLC in Florida.
