Form 8822-B: Update Your LLC Address or Responsible Party
Form 8822-B updates a business's mailing address, business location or responsible party in IRS records. It does not amend the LLC's state formation document or automatically update banks, payment processors and registered-agent accounts.

For a founder abroad, keeping IRS correspondence reachable is an operational priority. An unchanged email address will not help if an important paper notice goes to a service you no longer use.
When Form 8822-B is the relevant update
The IRS uses this form for businesses and other entities with an EIN application on file. Changes to the responsible party must be reported within 60 days. The IRS form overview identifies the covered changes and links the current form.

A change of registered agent does not necessarily mean the IRS responsible party changed. A service provider is not automatically the person who controls the entity for EIN purposes.
Gather the existing and new details
Retrieve the EIN confirmation, legal name and address currently associated with the company. Record the new information accurately and determine the date of the change.
For a responsible-party update, identify the actual person under the IRS definition and review the taxpayer-identification instructions. Do not insert a nominee merely because that person has a US identification number.
If the entity's ownership or legal structure also changed, assess whether additional filings or a new EIN are required. Form 8822-B is not a universal solution for every restructuring.

Complete the current form
Download the form directly from the IRS. Read the instructions for foreign addresses, signatures and the mailing destination. Use the address appropriate to the form's current instructions rather than an address copied from an unrelated tax return.
Check whether you are changing the mailing address, location, responsible party or a combination. Review the EIN and legal name carefully: a correct new address attached to the wrong entity number does not solve the problem.
Keep a signed copy and appropriate proof of mailing in your records. Calendar a follow-up review rather than assuming the record changed the moment the envelope was sent.
Update other systems separately
Build a list of state filings, tax agencies, banks, payment providers, insurers and important vendors. For each, record whether an update is required and how it was completed.

Do not cancel an old mail service before considering correspondence already in transit. Agree on a transition arrangement where available, while completing the formal updates.

A common international-founder scenario
Suppose you stop using a US correspondence service but continue operating from the same overseas location. The mailing address may change even though ownership, management and tax classification do not.
Document exactly that change. Avoid presenting it as a new business or requesting another EIN solely because the mailing arrangement changed. The IRS EIN guidance explains that address and responsible-party changes do not themselves require a new EIN.

Keep the change record usable
Store the old and new details, effective date, submitted forms and related confirmations together. This helps explain why historical documents show a different address during a later bank or tax review.
