Resale Certificate for an LLC: What It Does and Does Not Do

A resale certificate for an LLC generally supports a claim that particular goods are being purchased for resale under the applicable state's rules. It is not the LLC's formation certificate, its EIN or a blanket permission to buy anything without sales tax.

A resale certificate for an LLC generally supports a claim that particular goods are being purchased for resale under the applicable state's rules. It is not the LLC's formation certificate, its EIN or a blanket permission to buy anything without sales tax.

Start with the transaction: what are you buying, what will you do with it and which state's rules apply? The correct documentation follows those facts. It does not follow solely from having a company name ending in “LLC.”

Resale certificate for an LLC: separate the documents

Document General purpose
LLC formation record Establishes the legal entity
EIN confirmation Identifies the taxpayer for relevant federal purposes
Seller's permit or sales-tax registration Establishes registration under the relevant jurisdiction's rules
Resale certificate Supports the resale treatment of qualifying purchases

Names and procedures vary by state. California, for example, describes a seller's permit and resale certificates as related but distinct parts of its sales-tax system. California seller's-permit guide.

Determine whether the purchase is really for resale

Inventory you intend to sell

List the products and how they move into customer sales. Keep supplier invoices and inventory records so the transaction can be explained later.

Items the business will use

Office equipment, personal items and supplies are not automatically resale purchases merely because an LLC pays for them. Review the actual use and applicable rules rather than checking “business purchase” and assuming exemption.

Mixed orders

Separate resale items from items bought for use. Tell the supplier which treatment applies to which items instead of issuing an overly broad statement for the entire order.

Use the relevant state's current instructions

California's guidance specifies the information needed on a resale certificate and describes consequences for misuse. It also recognizes circumstances in which a purchaser may not be required to hold a seller's permit, with an explanation required in place of the number. That is a California rule, not a nationwide exemption. California valid resale certificates.

Do not copy one state's form into every supplier relationship. Confirm the transaction's jurisdiction, whether an out-of-state registration is accepted and whether special marketplace or drop-shipment rules apply.

Prepare a supplier-ready record

Before asking for tax-exempt treatment, collect the legal purchaser name, relevant registration details, product description and intended resale use. Ask the supplier which documentation it needs under the applicable rules.

Retain a copy of what you provided and the invoices it covers. If the company changes names or stops operating, review whether the supplier's records need updating. An outdated certificate can create confusion long after the first purchase.

Our LLC business-records guide offers a useful folder structure. Keep resale documentation with purchasing and inventory records, not only with the original formation papers.

A practical example

Imagine an online store buys 100 mugs to sell and one office printer to use internally. Both orders are business-related, but their intended uses differ. The resale analysis for the mugs does not automatically apply to the printer.

If some mugs are later taken for personal or business use rather than sold, ask how that change must be recorded and treated. The original purchase intention does not remove the need to track what actually happened.

Do not confuse purchase treatment with customer sales tax

A valid resale purchase does not settle your obligations when selling to customers. Review nexus, taxable products, marketplace collection and direct-channel sales separately. Our non-resident sales-tax guide introduces those questions.

Likewise, an LLC filing is not a sales-tax registration. Read our LLC versus business-license guide before treating the formation certificate as the only document a supplier or agency might require.

Set up the company and purchasing process together

If you are forming a US business, contact PrimeRegister about entity setup. Then confirm the relevant sales-tax and resale-documentation requirements with the state agency or a qualified adviser before using a certificate. Accurate purchasing records are more useful than a promise of “tax-free buying.”
