US LLC from India: FEMA and Overseas Investment Checklist

Forming a US LLC from India and funding that LLC are two different steps. A US state can accept the company's formation document while questions about the Indian owner's overseas investment remain unresolved. Before sending capital, ask your authorised dealer bank to review the proposed ownership and activity.

Two separate folders for US company formation and Indian overseas-investment records connected by a documented bank transfer.

Forming a US LLC from India and funding that LLC are two different steps. A US state can accept the company's formation document while questions about the Indian owner's overseas investment remain unresolved. Before sending capital, ask your authorised dealer bank to review the proposed ownership and activity.

This checklist explains how to prepare that conversation. It is based on the RBI framework checked on 5 November 2026; the bank and your adviser must apply the rules to the actual transaction.

US LLC from India: identify the investor first

Write down the proposed member's legal identity. Is the owner an individual resident in India, an Indian company, or someone living abroad? Do not use nationality as a substitute for residence under FEMA.

Also identify who will control the LLC, whether it will have subsidiaries, and what it will do. “Online business” is too vague. Software development, financial services, trading and investment activities can raise different eligibility questions.

The RBI's Master Direction works alongside the Overseas Investment Rules and Regulations. Use that framework rather than an old blog referring to a superseded overseas-investment regime. RBI Master Direction on Overseas Investment.

Prepare a funding map before making payments

Create one row for each planned transfer. Include the sender, recipient, currency, purpose and supporting document.

Payment What to clarify
Formation-service invoice What service is being purchased and by whom
State filing payment Whether it is paid directly or included in an invoice
Owner contribution Investment classification and reporting route
Loan to the LLC Eligibility, terms and separate reporting treatment
Reimbursement Evidence of the original business expense
Distribution to the owner Accounting, tax and receipt documentation

An expense paid on a personal card does not automatically become permitted equity investment, and calling a transfer a “service fee” does not change its substance. Keep the supporting records aligned with the real arrangement.

Understand what the LRS limit does and does not mean

The RBI's LRS direction provides an aggregate annual limit of USD 250,000 for permitted remittances by a resident individual, subject to its conditions. It does not provide a general corporate remittance allowance or make every overseas business investment permissible. RBI LRS direction.

Ask the bank to assess the proposed interest under the overseas-investment framework. Do not assume that a small ownership percentage automatically makes an unlisted LLC investment equivalent to buying publicly traded securities.

A useful written question is: “For this owner, activity, control arrangement and payment, which investment route and reporting requirements apply?” The answer should describe your transaction, not just quote the overall LRS limit.

Ask about reporting before the first investment

Have the bank identify the designated reporting route, required investment forms or identifiers, evidence of ownership and any continuing performance reporting that applies. Agree who will submit each item and how you will receive proof of submission.

Ask separately about later changes: adding capital, admitting another owner, restructuring the business, selling the interest or closing the LLC. A calendar containing only the US annual renewal can miss the Indian side of the investment.

Do not rely on a general statement that a late fee will fix everything. Delay in reporting and an investment that was not permitted are different problems. If money has already moved, give the adviser the true dates and bank records before making further transfers.

Use the forms for the actual remittance date

Older checklists often say “15CA/15CB” without identifying the period. India's current portal provides Forms 145 and 146, and the official Form 146 FAQ explains its accountant-certificate role for applicable Form 145 reporting. Do not assume both documents are required for every transfer. Current forms, Form 146 FAQ.

Ask your accountant which part, exemption or certification applies to the payment. The overseas-investment submission and the income-tax remittance paperwork answer different questions; completing one should not be treated as completing the other.

Example: a Bengaluru software founder

Suppose a founder pays a formation provider and later plans to deposit working capital into the new LLC. Treat these as separately documented events. Before the capital transfer, the founder supplies the bank with the ownership arrangement, business description and investment details, then follows the approved process.

The bookkeeping file records who paid each formation bill and whether it will be reimbursed. The US preparer also receives the owner-transaction ledger. This example illustrates a workflow, not a determination that a particular investment is permitted.

Documents to take to the bank and adviser

Bring identification and residence information, the proposed ownership chart, activity description, draft or final operating agreement, formation document if already available, expected funding schedule and source-of-funds records. Ask whether certified copies or additional translations are needed before paying for them.

Keep the bank's written instructions with receipts and submission acknowledgements. They are more useful at the next transfer than a screenshot of a generic internet checklist.

For the complete formation sequence, return to registering a US company from India. For the separate treatment of income and filings, read US LLC taxes for Indian residents. Our owner contributions versus loans guide explains why the accounting description should also be consistent on the US side.

Frequently asked questions

Does US LLC approval mean the investment complies with FEMA?
No. State formation and Indian overseas-investment compliance are separate matters.
Can an Indian company use an individual founder’s LRS allowance?
Do not treat the individual LRS route as a corporate investment route. Have the bank assess the actual investor and funding source.
Can I split capital into smaller transfers to avoid reporting?
A smaller transfer does not change its underlying purpose. Disclose the complete investment plan and follow the applicable reporting requirements.
Does every remittance require an accountant certificate?
No universal answer applies. The tax treatment, amount, purpose, applicable exceptions and current forms determine the requirement.
What if I already funded the LLC?
Give the authorised dealer bank and adviser the actual records and dates. Ask them to assess any missing reporting or other compliance issue before sending more money.
