Arizona LLC formation requires articles of organization filed with the Arizona Corporation Commission and an eligible statutory agent who accepts the appointment. Publication requirements depend on the county of the agent's street address. Ordinary Arizona LLCs do not file an annual report with the Commission.
Use the Commission's LLC articles instructions and business FAQs for the current requirements. The statutory agent is Arizona's term for the person or entity receiving legal process for the LLC.
Arizona LLC formation: prepare the articles and acceptance
Choose an available name and identify whether the LLC will be member-managed or manager-managed. Supply the required management and ownership information for that structure. Do not assume the public disclosure fields are identical for both choices.
Appoint an eligible Arizona statutory agent with a qualifying street address and obtain acceptance through the approved process. An appointment is not complete merely because you typed a person's name into a draft.
The Commission forms page provides the current filings and fee information. Standard articles carry a $50 filing fee; expedited and other optional services are additional. Verify the selected route's total at checkout.
Check which publication route applies
The county of the statutory agent's street address determines the ordinary publication route. If the address is in Maricopa or Pima County, the Commission publishes the notice on its website. Other counties generally require newspaper publication under the state instructions.
| Agent street-address county | Publication planning |
|---|---|
| Maricopa or Pima | Confirm the Commission's website publication |
| Another Arizona county | Arrange the required newspaper notice and retain evidence |
The newspaper route generally requires publication within 60 days after approval, for three consecutive publications. Follow the approval notice and current instructions carefully. Keep the newspaper affidavit with the company records even when filing it with the Commission is not required.
Do not confuse no annual report with no obligations
The Commission's FAQ states that LLCs do not file annual reports. That does not remove tax filings, licensing, agent maintenance or required updates to the entity record.
For example, a change in management or information disclosed in the articles may require an amendment even though there is no annual report to update it later. Review amending LLC articles when facts change.
Set up governance, EIN and banking
Prepare an operating agreement that matches the management choice. Save the accepted articles, agent acceptance and publication evidence. Obtain the EIN through the appropriate IRS process and prepare banking documents.
Our single-member versus multi-member guide explains how owner count affects governance and the usual federal tax starting point. The business address guide helps prevent using an agent address where a bank asks for a different kind of address.
Choose Arizona for a business reason
If operations take place elsewhere, assess additional registration and tax obligations. No annual Commission report does not make Arizona universally preferable.
