Kentucky LLC registration for a new domestic company uses Articles of Organization. The Secretary of State lists a $40 filing fee. After approval, the company still needs appropriate internal records, federal tax identification and a plan for annual reporting and taxes. Kentucky filing fees.
The formation fee is not the full cost of operating the company. Registered-agent services, licenses, tax preparation and other needs depend on the business. Separate those items before comparing a do-it-yourself filing with a provider package.
Kentucky LLC registration: prepare the articles
Choose the current domestic LLC form from the Secretary of State forms page. Check name availability, required LLC wording and whether a regulated activity needs a different structure or additional approval.
| Field or record | Practical decision |
|---|---|
| Company name | Exact legal spelling and required designation |
| Registered office | Qualifying Kentucky street address |
| Registered agent | Appointment and required consent |
| Principal office | Accurate business information for the requested field |
| Management | Member-managed or manager-managed structure |
| Organizer | Person authorized to submit the formation filing |
Read the management comparison before choosing the management option. The answer should reflect who will actually run the company, not which choice sounds more private or sophisticated.
Separate formation from ownership records
The filed articles establish the state record. An operating agreement addresses internal matters such as member interests, contributions, decision rights and departures. Do not rely on an application receipt as the complete ownership agreement between cofounders.
For example, two founders may contribute different amounts of money and work. They should resolve their agreed interests and authority before opening joint business accounts or signing major contracts. A formation provider cannot infer those decisions from the company name.
Submit and verify approval
Review the legal name, agent details, consent and signature before paying. Save the accepted articles and state identification information after processing. If the filing is rejected, correct the specific issue rather than submitting a second company under a slightly different name.
Once the entity is formed, use the formation versus EIN guide for the federal identification step. Prepare banking and licensing requirements separately. State approval is not a guarantee that a bank will approve an account.
Add Kentucky's ongoing tasks
Kentucky's annual report has a $15 fee and is generally due by June 30 in the applicable reporting year. Follow the official annual-report guidance for the first filing cycle and current information requirements.
The Kentucky state tax filing guide explains the separate Limited Liability Entity Tax and income-tax classification questions. The $15 annual report does not pay LLET.
If the business already exists in another jurisdiction, consider Kentucky foreign LLC registration instead of creating a second company. Keep the structural choice deliberate: a new Kentucky LLC and Kentucky authority for an existing LLC have different implications for contracts, financial records and continuing home-state filings.
