LLC Formation
LLC Formation vs EIN: Two Different Launch Steps
LLC formation vs EIN is a distinction between creating a legal entity under state law and obtaining a federal tax identification number. A state accepts the LLC's formation filing. The IRS assigns the EIN. Completing either step does not automatically complete the other.

This matters when buying a package described as business registration. Ask exactly which filings are included and what evidence you will receive. An EIN confirmation is not a substitute for accepted articles of organization.
LLC formation vs EIN at a glance
| Question | LLC formation | EIN assignment |
|---|---|---|
| Which authority handles it? | The relevant state filing office | Internal Revenue Service |
| What does it do? | Establishes the LLC under state law | Identifies an entity for federal tax administration |
| What evidence should you save? | Accepted state filing and receipt | EIN assignment confirmation and application record |
| Is there a government fee? | Usually a state filing fee | No IRS application fee |
| Does it approve banking? | No | No |
The IRS EIN guidance explains the federal application process and directs legal entities to form with the state first. State documents use different names; see certificate of formation versus operating agreement for the broader document map.
Complete the steps in a consistent order
First decide on the legal structure, owners, state and management arrangements. Next submit the correct state formation filing and wait for acceptance. Then apply for the EIN using the accepted legal name and appropriate entity information.
Keep a copy of the EIN application. You may need it to resolve an error or explain why a bank record differs from an IRS record. Our EIN application mistakes guide covers issues to check before submitting again.
An LLC's state entity number is not its EIN. Label them separately in your records. Both are identifiers, but they come from different agencies and appear on different forms.
Do all LLCs need an EIN for the same reason?
No. Federal requirements depend on classification and activities. Partnerships, employers and certain other entities need EINs. A foreign-owned US disregarded entity with a Form 5472 filing obligation also needs an EIN for that reporting. A bank may request one even when a particular owner has a different income-tax reporting arrangement.
The Form SS-4 instructions explain the application categories. Do not infer tax obligations merely from having a number. Use the LLC tax classification guide to identify the correct starting point.
What neither step does
Neither an LLC approval nor an EIN grants immigration status, authorizes a regulated profession or guarantees a payment processor account. Business licenses, customer contracts, ownership records and tax filings need their own review.
For example, a founder can hold both documents and still lack a required local permit. Another founder may have no state permit requirement but need additional bank identity checks. The right next step depends on activity and location.
