LLC Changes and Closure
Dissolve a Florida LLC: Sunbiz and Final Obligations
To dissolve a Florida LLC voluntarily, approve the closure, address winding-up obligations and file articles of dissolution through the appropriate Sunbiz route. The standard state filing fee is $25. Dissolving the entity does not automatically settle debts, cancel tax accounts or withdraw registrations in other states.

The Florida Division of Corporations dissolution instructions explain the online filing and optional document orders. A company formed outside Florida generally uses the foreign withdrawal route to end its Florida registration instead.
Dissolve a Florida LLC: confirm the correct route
Check the legal name, document number and current status in Sunbiz. Distinguish voluntary dissolution of a Florida domestic LLC from administrative dissolution or withdrawal of a foreign LLC.
Review the operating agreement and applicable law for approval and signing authority. Record the decision. If ownership or debts are disputed, obtain legal advice before making distributions or filing documents that certify facts.
Organize the winding-up work
List open customer projects, deposits, refunds, supplier bills, loans, leases and employee matters. Identify which contracts require notice and what assets must be sold or transferred.
| Task | Evidence to retain |
|---|---|
| Approve closure | Signed decision or consent |
| Resolve obligations | Payment, settlement and notice records |
| File dissolution | Accepted articles and receipt |
| Complete tax work | Final returns and filing evidence |
| Close registrations | Agency and provider confirmations |
Do not assume that filing articles eliminates creditor claims. Florida's LLC law governs winding up and claims procedures; obtain advice if you need to use formal creditor-notice protections.
File the Sunbiz articles accurately
Use the exact entity record and current instructions. The online form is a basic statutory filing and may not address every circumstance. The Division notes that additional provisions can be necessary for a particular situation.
The $25 filing fee is separate from optional certified copies or status certificates. Ask whether a bank or other recipient needs either document before buying extras. See certified LLC copies for the document distinction.
Complete final tax and account tasks
The IRS business closure guidance describes final-return and payment responsibilities based on tax classification and activity. A final state filing does not send those returns for you.
Foreign-owned disregarded LLCs should review final-year reportable transactions, including owner funding and distributions, with their preparer. The tax preparation checklist helps organize that handoff.
Keep accounts available for valid final payments, refunds and tax settlements, then close them through the institution's process. Review closing the IRS business account if the EIN is no longer needed.
Review the annual report and other registrations
Coordinate the closure date with any report or tax obligations already due. Do not assume you can ignore an existing obligation simply because dissolution is planned. Our Florida annual report guide addresses that separate filing.
Withdraw foreign registrations and cancel licenses where appropriate. Retain the closure archive and a contact address for later correspondence.
Contact PrimeRegister with the company status and intended closure date to ask about administrative filing assistance. Use legal and tax professionals for unresolved liabilities and transaction-specific decisions.
If your next project requires a separate new company after the Florida closure is addressed, review our LLC formation gig on Fiverr (IncorpoDesk) for formation support. A new registration does not complete the old LLC's dissolution or final filings.
