Foreign-Owned LLC Tax Checklist: Prepare for Filing
A foreign-owned LLC tax checklist should begin with ownership and tax classification, not a preselected return package. A single-owner disregarded LLC, a partnership and an LLC taxed as a corporation can have different federal filings. State obligations and the owners' home-country reporting also need separate review.

A foreign-owned LLC tax checklist should begin with ownership and tax classification, not a preselected return package. A single-owner disregarded LLC, a partnership and an LLC taxed as a corporation can have different federal filings. State obligations and the owners' home-country reporting also need separate review.
This checklist helps you give a qualified preparer the facts needed to determine and complete the correct work. It is a handoff system, not a substitute for preparing the returns.
Foreign-owned LLC tax checklist: establish the entity facts
Collect the accepted formation documents, EIN evidence, operating agreement, ownership schedule and any tax elections. Record each owner's tax residence, entity type and ownership dates. Include changes during the year, not only the year-end position.
The IRS LLC publication explains the classification framework. Our LLC tax classification guide translates the main starting points into a practical decision map.
Prepare a complete financial handoff
| Record group | What to include |
|---|---|
| Accounts | All bank, processor and platform statements |
| Revenue | Invoices, refunds, credits and gross-to-net reconciliations |
| Expenses | Receipts, contracts and business-purpose support |
| Owner transactions | Contributions, distributions, loans and reimbursements |
| Assets and liabilities | Purchases, sales, balances and loan terms |
| Cross-border activity | Work locations, customers, inventory and related parties |
Provide reconciled records rather than only screenshots or a final account balance. Identify currencies and the method used to translate transactions. Flag uncertain categories instead of guessing.
Identify the reporting route without assuming the answer
For a wholly foreign-owned US disregarded entity, the Form 5472 instructions address reportable transactions and the pro forma Form 1120 filing arrangement. No revenue does not automatically mean no reportable activity.
For an LLC taxed as a partnership, review Form 1065 requirements and possible foreign-partner withholding. The multi-member foreign-partner guide explains why its filing package differs from the single-member workflow.
For corporate treatment, supply election evidence and review the applicable corporate and related-party returns. Do not let the service provider infer classification from the word LLC alone.
Agree on scope, deadlines and payments
Ask the preparer to list the forms and jurisdictions covered, excluded work, required owner filings, extension responsibilities and tax-payment estimates. Confirm who submits each filing and what evidence you receive.
An extension to file does not automatically extend payment or every other information return. Read the Form 7004 guide for the specific workflow it covers. Start early enough to resolve missing owner information and unexplained transfers.
Review the draft before authorization
Check the name, EIN, ownership, addresses, transaction totals and filing period. Ask about unexplained differences from your records. Do not approve a return containing invented transactions or unknown owners simply to meet a deadline.
After filing, save the final version, acceptance or mailing evidence, payment confirmation and next-year action list. The company records guide provides the archive structure.
