LLC Changes and Closure
Dissolve a Wyoming LLC: Filing and Closure Checklist
To dissolve a Wyoming LLC, authorize the closure, address the required winding-up work and submit the appropriate articles of dissolution. The Secretary of State's current form lists a $60 filing fee and states that the entity must be active and in good standing for that filing route.

To dissolve a Wyoming LLC, authorize the closure, address the required winding-up work and submit the appropriate articles of dissolution. The Secretary of State's current form lists a $60 filing fee and states that the entity must be active and in good standing for that filing route.
The Wyoming articles of dissolution include a certification about compliance with the LLC Act and authority to dissolve. Do not sign that certification before the underlying requirements are satisfied.
Dissolve a Wyoming LLC: start with the company decision
Review the operating agreement and Wyoming law for the required approval. Record the decision and identify who is authorized to handle closure. If owners disagree, obtain legal advice rather than treating the state form as a way to override the dispute.
Check the public status and any overdue filings. A company already administratively dissolved may need a different assessment; see LLC reinstatement before assuming the voluntary form fits.
Prepare a winding-up inventory
| Area | What to resolve |
|---|---|
| Customers | Open work, refunds, deposits and contract notices |
| Creditors | Loans, bills, leases and guarantees |
| Assets | Cash, inventory, equipment, domains and intellectual property |
| Taxes | Final returns, information filings and amounts due |
| Other registrations | Foreign qualifications, licenses and tax accounts |
Reserve funds for known and reasonably anticipated obligations before distributing the remaining money. A zero bank balance does not establish that the business has no liabilities.
Complete the state filing carefully
Use the exact legal name shown in the Secretary of State record. Have an authorized person sign the required certification and provide the requested contact details. Follow the current submission and payment instructions; the form's listed paper route is not an email filing.
Save the accepted dissolution and verify the updated state record. If a recipient needs a certified copy, order the specific document rather than a general status certificate; our certified copies guide explains the difference.
Coordinate final federal work
The IRS closing-a-business guidance explains that final returns and other responsibilities depend on the business's tax treatment and activities. State dissolution does not automatically close federal accounts or erase information-return obligations.
A foreign-owned disregarded LLC may still need reporting for the final year, including relevant owner transactions. Use the foreign-owned tax preparation checklist to organize the records for the preparer.
Keep the bank account available long enough to settle legitimate final payments and refunds. Then follow the bank's closure process. If the EIN is no longer needed, use the separate IRS account closure guide.
Close other registrations and keep the archive
Withdraw registrations in other states where appropriate and close licenses or tax accounts through their respective procedures. Ending the agent subscription alone does not dissolve the LLC.
Retain formation, dissolution, tax and transaction records under the applicable retention rules. Assign a reliable contact for later correspondence.
Contact PrimeRegister with the entity's public status and formation details to ask about administrative support. Obtain legal and tax review where debts, disputes or complex transactions remain.
If you later launch a separate business after addressing the Wyoming LLC's closure, you can review our LLC formation gig on Fiverr (IncorpoDesk) for the new formation. That service is separate from dissolving the existing company and completing its final obligations.
