This distinction matters for international founders. Nonresident aliens cannot be S corporation shareholders. A foreign citizen's US tax residency needs its own assessment; citizenship alone is not the complete test.

How to start an S corp in Colorado: choose the entity first

Decide whether an LLC or corporation fits the ownership, management and investment plan. Use the Colorado LLC formation guide for a new LLC and the LLC versus C corporation comparison for the broader legal-form decision.

An existing company should review its current ownership and agreements before electing. Do not assume that a tax-saving article establishes eligibility for a company with entity owners, different economic rights or planned outside investment.

Prepare the federal election

The IRS requirements include a domestic eligible entity, permitted shareholders, no more than 100 shareholders and one class of stock. Obtain the required shareholder consents and prepare Form 2553 using the actual intended effective date. Form 2553 instructions.

The ordinary filing window is generally no later than two months and fifteen days after the beginning of the tax year for which the election is intended, or during the preceding tax year. Late-election relief has conditions; it is not an automatic extension.

Preparation Why it matters
Entity and EIN records Identifies the actual taxpayer
Ownership and residency details Supports eligibility review
Election date and consents Establishes the intended tax treatment
Payroll plan Separates compensation from distributions
State filing plan Covers Colorado obligations after election

Build payroll into the decision

An owner who works in the business cannot simply label all payments distributions. The IRS requires appropriate reasonable compensation for shareholder-employee services. IRS compensation guidance.

Plan Colorado returns and nonresident-owner reporting

Colorado describes S corporations within its business tax structure guidance. Applicable pass-through reporting uses Colorado's return process, including DR 0106 where required.

Nonresident-owner rules deserve specific review. Colorado changed its composite-filing framework for tax years beginning in 2024; old instructions relying on DR 0108 can be outdated. Review the current composite-filing guidance, including available exclusions and election consequences, with the preparer.

Keep the accepted federal election, payroll records and Colorado filings together. Continue the entity's ordinary state-maintenance obligations as well. An S election changes tax treatment; it does not replace the company's registered agent, periodic report or internal governance records.

A company with Maryland or Illinois operations should review the Maryland S corporation guide or Illinois S corporation guide for the separate state tax questions. Federal eligibility does not make state obligations identical.
