An LLC is a state-law entity. A C corporation is generally taxed as a separate corporation. An LLC can also elect corporate taxation, so legal form and tax classification are related but different decisions.

Start with your intended business model
Write down where services are performed, where employees and inventory will be located, who will own the entity and how owners expect to receive money. Then identify whether outside investors are a realistic near-term objective.
A founder building a service business with no planned equity funding has different needs from a startup negotiating institutional investment. Neither should choose a structure solely because a competitor's website recommends it for everyone.
If investors are involved, ask for their actual requirements before filing. Do not pay for a conversion merely because a blog says venture investors always require one particular arrangement.

Compare total administration, not just formation
Request a first-year and recurring estimate covering bookkeeping, federal returns, information reporting, state charges and the owner's personal obligations. A lower state fee can be outweighed by more complicated annual work.

Do not assume your home country follows US treatment
A structure regarded as transparent in the US may receive different treatment abroad. That mismatch can affect tax credits, timing and reporting. Citizenship alone does not settle the answer; tax residence and local rules matter.
Give advisers in both countries the same ownership chart and business description. Ask them to explain the treatment of retained profit, distributions and an eventual sale using a consistent example.

Where does an S corporation fit?
S corporation status is a tax election with eligibility restrictions. Nonresident alien shareholders are not permitted. Foreign citizenship by itself is not the same as nonresident alien tax status, so use the correct classification. See the IRS S corporation requirements.
Do not follow a generic “elect S corp to save tax” recommendation without confirming eligibility and consequences.
Prepare a decision brief before buying
Your brief should include the owners, operating countries, expected US activity, funding plans, payment plans and annual compliance budget. Ask for a written explanation of why the recommended structure fits those facts.
