Before paying for an election package, check every owner's eligibility. Nonresident alien shareholders are not permitted. A business serving international founders should not treat an S election as the default option for everyone.
How to start an S corp in Maryland: establish the company
Use Maryland SDAT's business filing guidance to form the chosen entity or check the record of an existing company. Prepare the agent appointment, ownership documents and required tax identifiers before attempting the federal election.
An eligible LLC may choose S taxation while remaining an LLC under state law. Read the LLC tax classification guide before assuming a new corporation must always be created.
Check ownership and file Form 2553
Review the shareholder types, tax residency, number of shareholders and economic rights. Use the Form 2553 instructions for consents, effective date and submission. The ordinary timing rule generally allows filing during the prior tax year or within two months and fifteen days after the intended tax year's start.
Keep proof of submission and the IRS response. Do not treat a prepared form as an accepted election. If an intended effective date has passed, investigate the actual late-election relief requirements rather than backdating signatures.
Separate the Maryland tax choices
| Decision or filing | Purpose |
|---|---|
| Federal Form 2553 | Elect eligible S corporation treatment |
| Maryland pass-through return | Report the entity under Maryland's applicable rules |
| Maryland elective pass-through tax | Separate state-level election and payment framework |
| SDAT annual report | Maintain the state business record |
Maryland's business tax forms distinguish Form 510 from Form 511 for electing pass-through entities. Consult the applicable year's instructions and the current filing resources before making an election. A federal S election does not automatically mean a state pass-through election was made correctly or on time.
Nonresident owners, credits and payments can make that state choice consequential. Provide the preparer with each owner's residency and ownership history rather than choosing a form solely by its title.
Add payroll and annual maintenance
Working shareholders need an appropriate compensation arrangement. The IRS compensation guidance explains the reasonable-compensation principle; our draws versus salary guide explains the operational difference.
Budget for payroll filings, bookkeeping and return preparation before assuming the election saves money. Retain separate records of wages, reimbursements and distributions.
Continue the Maryland LLC annual report where the underlying entity is an LLC, and assess any business personal property filing. The tax election does not cancel SDAT requirements. Put the federal election, Maryland return decisions and annual-report deadline into one calendar with separate completion evidence for each task.
