Kentucky Foreign LLC Registration: Authority and Fees
Kentucky foreign LLC registration allows an LLC formed elsewhere to obtain authority to transact business in Kentucky. The Secretary of State lists a $90 fee for a foreign business entity's certificate of authority. This is separate from Kentucky's $40 domestic LLC formation filing.

Choose the route based on the entity you already have. An overseas owner does not by itself make a Kentucky-formed company foreign. The foreign qualification guide explains why formation jurisdiction and owner residence must be kept separate.
Kentucky foreign LLC registration: prepare the authority filing
Use the current foreign business entity application from the Secretary of State forms page. Check the entity-type selection and all current attachment instructions before ordering documents.
| Preparation item | What to resolve |
|---|---|
| Existing LLC | Exact name, formation jurisdiction and date |
| Kentucky name | Whether the proposed name meets state requirements |
| Registered office | Qualifying Kentucky street address |
| Registered agent | Appointment and consent requirements |
| Management information | Match the company's actual structure |
| Filing authority | Confirm who can sign for the LLC |
If the name cannot be used as submitted, follow the state's alternative-name process. Do not change the home-state legal name informally on bank documents just to make a Kentucky application look consistent.
Assess activity and tax registration separately
Describe what will happen in Kentucky: work locations, employees, inventory, contracts and who performs the services. Have uncertain qualification questions reviewed before beginning operations.
A practical example is an out-of-state ecommerce company adding a Kentucky storage and fulfillment location. Entity authority, sales-tax responsibilities and local permissions may each need attention. Registering the entity does not automatically register every tax account.
Our ecommerce LLC guide explains the operating questions to gather before asking for that review. Keep a written summary so the lawyer, tax preparer and filing provider work from the same facts.
File and create a continuing calendar
Review the application, agent details and payment. Save the accepted authority document, Kentucky identification details and receipt. Check the state record after processing rather than relying only on the submission screen.
Kentucky has a separate annual-report requirement, with a $15 filing fee and June 30 deadline. Follow the annual-report instructions for the company's applicable reporting year. Keep the home-state obligations on the calendar too.
Do not confuse the annual report with LLET
The Limited Liability Entity Tax, or LLET, is a tax issue, not the $15 Secretary of State report. Read the Kentucky state tax filing guide before assuming a pass-through LLC has no entity-level state tax work.
If the business has not yet been formed, use the Kentucky LLC registration guide for domestic formation. If it already exists elsewhere, keep the original ownership and company records intact and add Kentucky authority to that existing file. Foreign registration does not ordinarily create a new LLC or a new EIN requirement by itself.
