Georgia foreign LLC registration: choose the right route
If you already have an LLC in another jurisdiction, assess whether its Georgia activities require authority. If you are starting a new Georgia company, use the Georgia LLC formation guide instead.
Foreign registration is not determined by the members' nationality. A Delaware company owned by a US citizen can be foreign in Georgia. A Georgia company owned by a non-US resident can be domestic there. Our foreign qualification guide explains the distinction.
Prepare the information Georgia requests
| Information | Preparation |
|---|---|
| Existing legal entity | Verify name, jurisdiction and original formation details |
| Georgia name | Check availability and required naming procedure |
| Principal office | Supply the accurate address requested |
| Registered agent | Confirm the Georgia appointment and office |
| Management and records details | Complete the LLC-specific fields |
| Applicant and signer | Use current contact details and proper authority |
Read the LLC instructions for supporting documents. Do not automatically import a foreign corporation's certificate requirements into an LLC application. The Georgia business FAQ distinguishes entity types and is useful when assembling the package.
File through the official business system
Follow the state guide to create or use the relevant account, select foreign entity registration and complete the LLC application. Review names and addresses before payment. A trading name, brand name and legal entity name may differ; the application must identify the actual company.
After processing, save the certificate of authority and payment evidence. Check that the company appears with the expected registration details. If the filing is rejected, correct the stated problem rather than creating a second application with a different company name.
Add annual registration and tax tasks
Georgia's annual registration is separate from the first foreign-registration application. The state guide describes the recurring January 1 through April 1 filing period. Confirm the first applicable year and maintain the registered-agent record.
Tax accounts, payroll and licenses depend on business activity. The LLC versus business license guide explains why company authority is not a universal operating permit. Inventory, employees and local premises are useful facts to gather for the tax and licensing review.
Keep the home-state LLC active where required. Georgia authority does not replace its original formation record. Maintain both sets of accepted documents in your business records folder, and review both jurisdictions before a later move, ownership change or business closure.
