Use the Georgia domestic entity registration guide for the current filing routes and processing estimates. Expedited service and professional assistance cost extra, and a processing estimate is not a guarantee of acceptance.
Georgia LLC formation: decide whether this is a new entity
If you already own an LLC formed in another state, first assess whether Georgia foreign qualification is the correct route. Forming a second LLC creates a different entity and does not automatically move contracts or assets from the original business.
For a new domestic LLC, choose an available name, prepare the principal office information and appoint an eligible Georgia registered agent. Use a monitored email address for official correspondence. The agent guide explains what notice handling should include.
Prepare and submit the correct filing
The state offers online and paper routes. Follow the instructions for the selected route, including articles and any required transmittal information. Identify the organizer and authorized signer accurately.
- Check the proposed legal name and LLC designation.
- Confirm addresses and agent consent.
- Review management and ownership decisions internally.
- Submit the state filing and required payment.
- Save the accepted documents and verify the entity record.
A submission receipt is not the same as an approved entity record. If the state requests a correction, fix the identified problem rather than filing a duplicate company.
Budget for the first recurring registration
The Georgia annual registration instructions state that LLC annual registration is due between January 1 and April 1, beginning in the year after formation. The current standard total is $60: a $50 filing fee plus $10 service charge.
| Cost | Standard government amount |
|---|---|
| Domestic LLC formation | $110 total |
| Annual registration | $60 total |
| Expedited or optional services | Additional, depending on selection |
A company formed late in a year should still plan for the following year's registration window. Do not assume the first recurring filing waits a full twelve months from approval.
Complete the internal and federal records
Adopt an operating agreement suited to the owners and management arrangement. Obtain the EIN through the appropriate IRS process after formation and prepare banking documents. Our LLC formation versus EIN guide explains why those records are distinct.
Check state tax accounts, local licenses and industry requirements based on the activity and location. A formation approval does not authorize every type of business. For a consulting practice, also review the consultant setup guide.
Keep the annual task simple
Save a calendar reminder before the registration window, assign responsibility and retain the acceptance record each year. Update the agent and addresses promptly when they change. The annual report versus tax return guide helps separate this task from tax preparation.
