This timing can surprise founders because the deadline is not the formation anniversary. Check the state's recorded organization or qualification date before adding the first statement to your calendar.
Michigan LLC annual statement: ordinary LLC or PLLC?
| Entity | Annual filing distinction |
|---|---|
| Ordinary LLC | Annual statement; $25 filing fee |
| Professional LLC | Combined annual report and statement; $75 fee |
| Corporation | Different corporate reporting rules; do not use the LLC checklist |
Confirm the entity type shown in LARA's record. A business providing consulting services is not automatically a professional LLC; the company's actual legal structure and regulated profession matter.
Apply the late-year exception correctly
Consider two ordinary LLCs formed in the same year. One is organized in September and the other in October. Under the after-September-30 rule, their first required February filings can fall in different years. Do not replace that rule with an assumption that every company gets a full twelve months.
Michigan's annual reporting guidance also describes the online filing season. Use the available period shown for the entity instead of preparing a filing under the wrong year.
Review agent details before submission
Locate the company using its state identification information. Check the resident agent and registered office against the current appointment. If a provider relationship ended, resolve the agent record through the proper process before relying on the old information.
The registered agent change guide helps distinguish ending a service contract from changing the state's record. Make sure the person responsible for official correspondence can actually access that inbox or address.
Submit through LARA's official filing process, save the statement and receipt, and verify acceptance. If another person submits it, ask for the filed document rather than only an invoice from the service provider.
Deal with missing statements and separate tax work
Missed statements can affect good standing. LARA publishes a specific LLC restoration process; check the actual status and missing periods before selecting a form. A company that needs restoration should not assume a single routine payment resolves every outstanding item.
The annual statement does not settle Michigan income, sales or employer taxes. Use the Michigan state tax filing guide to identify the separate tax questions. If you are still setting up the business, the Michigan LLC formation guide connects the first filing to agent appointments, company records and the first recurring deadline.
Keep the state acceptance and tax acknowledgments in different folders. That small administrative habit makes it much easier to prove which task was completed when a bank, buyer or provider asks for evidence.
Do not generalize this February filing to every state: the Missouri LLC reporting guide explains a state that does not require the same routine LLC report.
