Use the current Michigan articles form and annual filing guidance. This guide concerns an ordinary LLC; professional LLCs have additional requirements and different annual charges.
Michigan LLC formation: prepare the entity information
Choose a distinguishable name and identify the resident agent and registered office. Obtain consent and ensure that legal notices can actually reach the responsible person. A residential address, mailing address and registered office are not automatically interchangeable.
Prepare the company purpose, duration if applicable and management provisions. Michigan's ordinary articles provide for management by members unless the articles specify otherwise. Decide the structure deliberately rather than choosing a portal option at random.
Read member-managed versus manager-managed LLCs if someone other than the owners will run the business or sign contracts.
File and retain the accepted record
Use the current state filing route and review the selected processing service. The standard articles fee is separate from optional expedited service or a provider's assistance charge.
Save the accepted articles, transaction evidence and entity identification number. Prepare an operating agreement that records actual ownership and decision rules. The formation documents checklist helps organize the internal and official records.
Apply the February 15 rule correctly
Michigan's annual statement is generally due February 15 each year after formation. If an LLC is formed after September 30, it does not have to file on the immediately following February 15.
| Hypothetical formation date | First ordinary annual statement |
|---|---|
| August 2026 | February 15, 2027 |
| October 2026 | February 15, 2028 |
These examples apply the ordinary rule, not a tax deadline. Verify the actual company record and current guidance. The state's Corporations Division FAQ explains the exception and filing route.
Do not confuse annual statements with tax returns
The statement maintains state entity information. Federal and state tax obligations depend on classification and activity. A foreign-owned disregarded LLC may have information-return obligations even when revenue is low or absent.
Use the LLC tax classification guide and the no-income LLC article to identify the questions for a qualified preparer. Do not wait for the annual statement reminder to begin tax planning.
Complete the operating setup
Obtain the EIN where required, prepare banking evidence and review licenses, sales-tax and employer registrations. An LLC formed in Michigan but operating elsewhere may need additional registration.
Assign responsibility for the February calendar task and keep access to the state filing account secure. If good standing has already lapsed, assess restoration rather than forming a replacement company; see LLC reinstatement.
