LLC Formation Documents: A Practical Filing Checklist
LLC formation documents usually begin with a state filing, often called articles of organization or a certificate of formation. An operating agreement, EIN confirmation and bank application serve different purposes. Preparing one organized folder helps you avoid sending the wrong document or assuming that state approval completes every launch step.

LLC formation documents usually begin with a state filing, often called articles of organization or a certificate of formation. An operating agreement, EIN confirmation and bank application serve different purposes. Preparing one organized folder helps you avoid sending the wrong document or assuming that state approval completes every launch step.
The exact state form controls what must be submitted. For example, New York's formation guidance separates the state articles from the written operating agreement, which the LLC keeps internally. Use this checklist for an ordinary LLC; professional practices and regulated activities may need additional approvals.
LLC formation documents to prepare before filing
| Information or document | What to check |
|---|---|
| Proposed legal name | Required LLC ending and state availability |
| Formation state | Where the business will actually operate and why this state fits |
| Registered agent details | Correct legal name, qualifying address and consent |
| Business addresses | Mailing and principal-office fields answered accurately |
| Management choice | Who will manage and sign for the company |
| Organizer information | Who is authorized to submit the state filing |
| Ownership record | Actual owners, interests and agreed contributions |
A passport is not a universal attachment to state articles. A formation provider or bank may separately require identity evidence. Send sensitive documents through the recipient's secure process, not a public filing field. Our address comparison explains why an agent address and an owner's residence are different.
Keep state, internal and federal records separate
The state filing creates the entity when accepted and effective under state law. Save the accepted document and filing receipt. A draft PDF or payment receipt alone may not show that the filing was approved.
The operating agreement records internal arrangements such as management, distributions and ownership changes. It should match the members' actual agreement. Use the operating agreement guide to prepare the business decisions before requesting legal drafting.
An EIN identifies the business for federal tax administration. It does not replace formation approval. The IRS says to form the legal entity before applying for an EIN. Keep the application record and assignment confirmation together.
Build the bank folder after approval
A bank may ask for accepted formation documents, EIN evidence, the operating agreement, ownership details, identification, addresses and a description of the business. Requirements vary by institution and applicant. A complete folder improves readiness; it does not guarantee approval.
For example, an online consultant might have articles and an EIN but still need a client contract or website to explain the business. A retailer may need supplier and inventory information instead. Read the nonresident business bank account guide before choosing a provider.
Use a simple document-control system
Create folders named State, Ownership, IRS, Banking and Renewals. Put the acceptance date in each official filename. Keep signed originals, restrict access to identity documents and back up the records securely.
Before submitting anything, compare the legal name, formation date and addresses across the documents. Resolve discrepancies at their source. Do not alter an official PDF to make it match another record.
Find the filing checklist for your state
The required fields and post-formation tasks vary. Use the state-specific guide before submitting the general document folder.
