The Ohio business forms and fee schedule lists the current articles, Form 610. The state's business scam guidance also warns about annual-report solicitations, making it useful when unfamiliar renewal letters arrive.
Ohio LLC formation: prepare the articles
Choose an available name with a permitted LLC designation. Prepare the effective-date information and required authorized signature. Use the current form for an LLC, not the similarly priced corporate articles.
Appoint a statutory agent who meets Ohio's requirements and accepts the appointment. This person or entity receives legal process for the company. A service address is not automatically your business's operating address or the owner's residence.
Our registered agent guide explains the ongoing notice-handling task. Confirm the agent's forwarding method and what happens if a notice requires urgent action.
Save approval evidence, not just payment evidence
Submit through the state route you selected and retain the transaction reference. Once accepted, save the filed articles and verify the entity record. Optional expedited services do not guarantee acceptance of incomplete or inaccurate documents.
| Record | Why to keep it |
|---|---|
| Accepted articles | Evidence of the state filing |
| Agent appointment | Notice coverage and contact details |
| Operating agreement | Ownership and management arrangements |
| EIN confirmation | Federal identifier evidence |
| License and tax records | Activity-specific operating obligations |

Understand what no annual report means
For an ordinary Ohio LLC, the absence of a routine annual entity report does not mean there are no annual costs. Private agent service can renew, taxes may be due and licenses can expire.
Check the sender and legal basis before paying a solicitation. A private company's offer to prepare an optional document is not automatically an official government bill. If you are unsure, verify the requirement through the Secretary of State's own site.
Changes can still require filings. A new statutory agent needs the proper update; do not wait for a nonexistent annual report. Read changing a registered agent for a continuous-coverage handoff.
Complete the federal and operating setup
After formation, request the EIN through the applicable IRS route. Prepare an operating agreement that fits the actual owners and managers, and apply for banking with accurate information.
Review state and local tax registration, employer obligations and licenses based on the work. If the company operates outside Ohio, assess foreign qualification there. The annual report versus tax return guide explains why a tax filing can remain necessary even without a state annual report.
