Washington LLC Formation: Filing and Initial Report

An initial report is also required and can be included with formation without a separate initial-report fee.

The state's online LLC instructions explain the current process. Business licensing and tax registration are separate from creating the entity, so formation approval is not the end of the operating checklist.
Washington LLC formation: prepare the certificate
Choose an available name, appoint a qualifying Washington registered agent and obtain consent. Prepare the principal office information, effective date, duration and other required company details.
Use the correct route for a new domestic LLC. The LLC filing resource page distinguishes a domestic certificate from a foreign registration statement for an existing entity formed elsewhere.
Save the accepted formation record and the assigned Unified Business Identifier. The UBI is not the federal EIN; our LLC formation versus EIN guide explains why separate identifiers appear in the business folder.
Complete the initial report deliberately
The initial report records principal-office and governor information. If it is not included with the formation document, it generally must be submitted within 120 days of the effective date and carries a separate $10 fee.
Do not assume an optional-looking portal choice means the report itself is optional. Deferring it creates a later task. Review management and signing authority before listing the relevant people.
| State filing item | Current base amount |
|---|---|
| Certificate of formation | $180, plus online processing fee where applicable |
| Initial report with formation | No separate report fee |
| Initial report filed separately | $10 |
| Ordinary LLC annual report | $70 |
The state fee schedule lists these charges and optional priority services. Expedited processing, private agent service and business-license costs are separate.
Calendar the annual report
The annual report is generally due by the last day of the month in which the business was first formed or registered. The state allows filing within the applicable advance window. Check the entity record for the actual expiration date.
For example, an LLC with an October anniversary should not assume its state report is due on the federal income-tax deadline. The annual report versus tax return guide explains the distinction.
Finish licensing, federal and internal setup
Review the Washington business licensing and tax registration requirements for the actual activity and locations. City endorsements or industry permissions may be relevant. A Secretary of State record does not establish that every operating license has been obtained.
Prepare the operating agreement, obtain the EIN through the correct route and collect the bank's required evidence. Keep owner, manager and address information consistent across applications while answering each field according to its purpose.
Keep the records usable after launch
Retain the certificate, initial report, UBI information, agent agreement and recurring filing calendar. Use the business records checklist to organize changes as the company grows.
