The Corporations Division's LLC guidance explains the certificate, amendments and annual report. The fee schedule should be checked for the selected filing route and any additional service charges.
Massachusetts LLC formation: prepare more than a name
The certificate requests the company name, office information, general character of business, registered agent and relevant management or authorized-person information. Read the exact fields because management and document-signing authority are not the same as a generic owner list.
If the LLC has managers, identify them as required. The state also requests persons authorized to execute documents filed with the Corporations Division, with particular requirements where there are no managers. Real-property signing authority has its own field when applicable.
Use our management guide to decide who has authority before entering names. Public filing information should match the actual arrangement.
Review the registered agent and filing
Appoint an eligible agent and obtain the required consent. Keep a reliable route for notices to reach the people who can act on them. A commercial agent is not automatically the LLC's accountant or general business manager.
Submit the certificate through the state route and save the accepted document. Check the effective date rather than treating payment as proof that the company is already active.
| Ordinary state item | Standard fee |
|---|---|
| Certificate of organization | $500 |
| Annual report | $500 |
| Certificate of amendment | $100 |
These figures exclude private agent service, formation assistance, taxes and licenses. Our LLC costs guide helps avoid mixing recurring costs with a one-time setup quote.
Calendar the anniversary annual report
Massachusetts requires the annual report on or before the anniversary date of the original certificate filing. The report repeats the required company information with necessary updates.
Do not assume that the report's deadline is April 15 or the last day of the anniversary month. Use the actual anniversary date and state record. The annual report versus tax return guide explains why separate calendars are necessary.
Prepare internal and federal documents
Adopt an operating agreement, document member contributions and obtain the EIN through the appropriate IRS process. Prepare bank evidence and verify licenses or registrations for the activity.
For a business with international owners, review federal classification and the owners' home-country treatment. The formation certificate does not decide those questions. A professional practice should also check whether special entity and licensing rules apply.
Choose the state based on operations
If your business operates in Massachusetts, forming elsewhere may still leave a Massachusetts foreign-registration obligation. If it already exists elsewhere, examine that route before creating another LLC.
