Nevada LLC Formation: Understand the Full State Cost

The articles and list fees are set out in Nevada's LLC statute. The Secretary of State's business license guidance explains the separate license and exemptions. Do not assume an exemption applies merely because the owners live outside Nevada.
Nevada LLC formation: calculate the filing package
| Standard item | Amount |
|---|---|
| Articles of organization | $75 |
| Initial list | $150 |
| State business license, if required | $200 |
| Ordinary nonexempt initial total | $425 |
Agent service, expedited processing, professional advice and local licenses are additional. Compare the written total rather than an advertisement showing only the articles fee.
Prepare names, management and agent information
Choose an available legal name and appoint an eligible registered agent. Decide whether the LLC will be managed by members or managers. Nevada's filing rules require relevant management information; the state is not a promise of complete public anonymity.
Prepare the organizer information and initial list consistently. The list identifies managers or managing members under the applicable structure. Use the management comparison to understand the business decision before filling in titles.
The Nevada forms and fees directory links the appropriate documents. Confirm the current filing package and selected service level before submitting payment.
Plan the recurring state cost
For an ordinary nonexempt LLC, the annual list fee is $150 and the annual state business license is $200. That is $350 in these recurring state charges before private agent service or other obligations.
The LLC statute generally ties the annual list to the last day of the anniversary month, subject to applicable alternative-date provisions. Use the date shown in the company record rather than a generic calendar reminder copied from another state.
An annual list is not a federal tax return. Read annual report versus tax return to separate the filing responsibilities.
Evaluate where the business actually operates
Nevada formation does not remove another state's registration or tax requirements when the business operates there. A founder with an office, staff or inventory elsewhere should assess those facts before selecting Nevada.
For example, a retailer with stock and employees outside Nevada may incur administration in more than one state. The ecommerce LLC guide explains why inventory and fulfillment locations belong in that assessment.
Complete the internal and federal setup
Keep the accepted articles, initial list, license evidence and operating agreement. Request the EIN through the appropriate route and prepare banking documents. Foreign-owned entities should review their federal information-return obligations separately from the Nevada filings.
