The SCC's Virginia LLC forms and fees page identifies the filing and update routes. Use it for the current document rather than a form intended for a corporation or an LLC formed elsewhere.
Virginia LLC formation: prepare the articles
Choose a compliant legal name, identify the principal office and appoint an eligible registered agent with a Virginia registered office. Virginia has specific rules about who may serve as agent. Do not assume any person with a Virginia mailbox qualifies.
Check the SCC's current agent eligibility instructions and obtain consent. Our registered agent guide explains the service responsibilities, but the Virginia rules determine eligibility for this filing.
Prepare the authorized signature and submit the articles through the chosen route. Keep the accepted document and SCC identification number. They belong in a different record category from the federal EIN.
Know what the annual fee requires
The SCC annual registration guidance explains the $50 LLC fee and anniversary-based deadline. For an ordinary Virginia LLC, payment is generally due by the last business day of its anniversary month each year after formation.
| Item | Standard government charge |
|---|---|
| Articles of organization | $100 |
| Annual LLC registration fee | $50 |
| Ordinary articles amendment | $25 |
Check the company record for the exact deadline and any amounts already due. A reminder from a provider is not evidence that payment was made. Our Virginia annual registration fee guide covers the recurring task in more detail.
Keep internal ownership records separate
Prepare an operating agreement that identifies management, voting, contributions and distributions. The articles do not substitute for the full ownership arrangement.
If a manager will sign customer contracts, document that authority. If owners live in different countries, address how notices, approvals and access to records will work. Read single-member versus multi-member LLCs before finalizing the arrangement.
Complete EIN, banking and operating registrations
After state formation, request the EIN through the appropriate IRS process and prepare the bank's evidence. Check Virginia tax registration, local business requirements and any professional licensing for the activity.
A Virginia LLC operating in another state may also need foreign qualification there. Conversely, an existing out-of-state LLC may need Virginia foreign registration rather than a new domestic formation. These are distinct legal routes.
Plan updates without creating another company
The SCC offers separate filings for principal-office and registered-agent changes. Not every update requires amended articles. See the LLC address change guide before selecting a form.
