New Jersey LLC Formation: State and Tax Registration
New Jersey LLC formation and New Jersey tax registration are separate filings. The formation certificate establishes the entity. Form NJ-REG registers the business for applicable tax and employer purposes. Completing one does not automatically complete every requirement of the other.

The current New Jersey Treasury fee schedule lists a $100 LLC certificate of formation fee and a $75 annual report fee. These are government charges; provider assistance, optional services and any applicable transaction charges are separate. Check the live filing total before payment.
New Jersey LLC formation: prepare the entity details
Choose a distinguishable legal name and decide whether this is a new New Jersey entity or registration of a company already formed elsewhere. A foreign LLC application is not the same as forming a new domestic LLC.
Prepare the registered agent and New Jersey registered office information, business addresses, management details and authorized signer. Obtain the agent's consent and clarify how legal notices will reach you.
Review the formation documents checklist before filing. Use the same accepted legal name across subsequent applications rather than abbreviating it differently for the IRS, bank and tax registration.
Complete the formation and NJ-REG workflow
The Treasury registration guide describes the two filings and the role of the EIN. Its sequence references obtaining an EIN, while the IRS directs applicants forming a legal entity to establish it with the state first. Follow the current portal's requirements and resolve any EIN-field question with DORES rather than entering a fabricated number or applying for an unformed entity.
After the legal entity exists, use the appropriate IRS application route and complete NJ-REG with accurate tax and employer information. An international applicant may need a different EIN route from someone eligible for the IRS online system; see EIN without an SSN.
| Record | What it represents |
|---|---|
| Formation certificate | State entity creation |
| State entity ID | New Jersey's business identifier |
| EIN confirmation | Federal identification |
| NJ-REG registration | Tax and employer registration information |
| Business Registration Certificate | Registration evidence used for specified purposes |
Know when a Business Registration Certificate matters
New Jersey's BRC guidance explains its use for public contracting and other state programs. A BRC is not interchangeable with the formation certificate or a bank's requested EIN evidence.
For example, a new consulting LLC bidding on a public contract should verify the procurement requirements before assuming that accepted formation articles are enough. Identify the exact document the recipient requests.
Put the annual report on the calendar
Keep a registered agent and submit the required annual report. Our New Jersey annual report guide covers that separate recurring task. A state annual report does not replace a federal tax return or sales-tax filing.
Maintain an operating agreement, ownership records and separate business accounts. If the company has several owners, review the multi-member tax guide before the first filing season.
For administrative formation support, contact PrimeRegister with the business activity, owner count and expected New Jersey operations. Request a quote that identifies formation, NJ-REG assistance and ongoing services separately.
