Use the state's LLC formation page, fee schedule and annual report guidance. Older advice saying Pennsylvania LLCs have no annual report is no longer a reliable basis for a new company's calendar.

Pennsylvania LLC formation: prepare the certificate

Choose an available name and prepare the organizer, effective-date and registered-office information requested by the form. An ordinary LLC and a restricted professional company are different situations; professional activities may carry additional requirements.

Pennsylvania uses a registered-office system. A company can provide an eligible Pennsylvania registered office or identify a commercial registered office provider under the applicable rules. Do not mechanically substitute another state's registered-agent fields.

Obtain the provider's agreement before naming it. The address guide explains why a statutory notice address, principal office and owner's residence are separate concepts.

Include the docketing information

The state's formation guidance identifies the certificate of organization and docketing statement. Complete all required accompanying information for the selected filing route rather than uploading only a certificate found online.

Review the legal name and addresses for consistency. Save the accepted certificate, submission record and state entity number. Use the formation documents checklist to keep these distinct from the operating agreement and EIN evidence.

Understand the current annual report

Pennsylvania began its new annual report system in 2025. An ordinary LLC's report is due by September 30, beginning in the year after formation or initial foreign registration. The ordinary for-profit LLC fee is $7.

Filing Timing or amount
Domestic LLC formation $125 standard state fee
First annual report Year after formation
Ordinary LLC deadline September 30
Ordinary for-profit report fee $7

The state describes a transition period and enforcement beginning for reports due in 2027 and later. Follow the current guidance rather than assuming missed-report consequences are identical in every transition year. Professional companies may also have separate annual registration obligations.

Finish the ownership and operating setup

Prepare the operating agreement, obtain the EIN through the appropriate IRS process and collect bank documents. Check state tax accounts, local permissions and industry rules for the activity.

A nonresident owner should review both US and home-country obligations. State acceptance does not decide the LLC's entire tax position. The tax classification guide explains the federal starting point.

Use the correct route for an existing business

If an LLC already exists in another state, assess Pennsylvania foreign registration instead of forming another company. If an existing Pennsylvania LLC changes its information, use the appropriate update filing. Our articles amendment guide explains that distinction.
