LLC Formation
LLC Formation Timeline: From Filing to Operating
An LLC formation timeline has several milestones: preparing the filing, receiving state approval, obtaining an EIN and completing the banking or licensing steps your business needs. A company may legally exist before it is ready to receive customer payments. There is no single processing time that covers every state, applicant and institution.

An LLC formation timeline has several milestones: preparing the filing, receiving state approval, obtaining an EIN and completing the banking or licensing steps your business needs. A company may legally exist before it is ready to receive customer payments. There is no single processing time that covers every state, applicant and institution.
Start with your target operating date and work backward. Record the current state processing estimate, the EIN application route and the bank's requirements separately. Treat estimates as planning information, not promises.
LLC formation timeline: the five milestones
| Milestone | Evidence that the step is complete |
|---|---|
| Preparation | Approved name choice, agent consent and accurate filing details |
| State submission | Submission reference and payment receipt |
| State acceptance | Accepted formation document and effective date |
| Federal identification | Assigned EIN and usable confirmation evidence |
| Operating readiness | Necessary accounts, contracts, licenses and recordkeeping |
The IRS instructs applicants to form an entity before requesting its EIN. Avoid applying under a proposed company name that later changes during state review. Our formation documents checklist helps you complete the preparation stage.
Why state processing times differ
Online and paper filings may enter different queues. Optional expedited service may speed up the state's review, but it does not solve a name conflict, an incomplete address or a missing signature. An accepted filing may also specify a later effective date.
For a concrete example, Georgia's domestic registration guidance distinguishes online processing from paper processing and lists expedited options. Check the current information immediately before filing. Do not transfer a Georgia estimate to New York, Wyoming or another state.
Some states also require post-formation steps. New York's publication requirement has its own deadline, separate from approval of the articles. If you choose New York, read the state formation guide and budget time for publication evidence.
EIN and banking are separate queues
An applicant who qualifies for the IRS online system may have a different process from an international applicant who must use another route. Do not submit duplicate applications because one application is still pending. Save evidence of the original submission and follow the IRS's current instructions.
Our EIN processing guide explains the difference between submitting an application, receiving a number and obtaining confirmation. A bank may still request additional ownership or business evidence after you have the EIN.
Build a buffer before promising customers that a specific payment account will be available. Provider marketing about quick formation does not establish a bank's approval time.
An example launch plan
Suppose a founder wants to invoice clients next month. This week, they finalize ownership, review the state's current queue and collect addresses. After state acceptance, they request the EIN through the appropriate route and complete internal documents. They then apply for banking and review licenses before accepting work through the LLC.
This is a sequence, not a guaranteed one-month schedule. If banking takes longer, the founder revises the launch date rather than misrepresenting an application as an approved account.
What to ask a formation provider
Ask when the provider submits the filing, what the state estimate excludes, how rejections are handled and how you receive accepted documents. Use our provider questions checklist to compare answers. Contact PrimeRegister with your intended state and launch date to discuss the formation steps within its service scope.
