New York LLC formation involves filing articles of organization with the Department of State, arranging the required publication and adopting a written operating agreement. The state articles cost $200, and filing the certificate of publication costs $50. Newspaper charges are additional and vary.

The Department of State's formation guide is the primary reference for an ordinary domestic LLC. An existing company formed elsewhere may need authority to operate in New York instead of a second formation.

New York LLC formation: prepare the articles

Choose an available name with the required LLC designation. Identify the New York county where the office is located and provide the address to which the Secretary of State should mail legal process. The county field is not a request to list every place you serve customers.

New York designates the Secretary of State as agent for service of process. You may designate an additional registered agent. Keep the forwarding address accurate and monitored; a filing address is useful only if important notices reach you.

Have the authorized organizer submit the articles and preserve the accepted filing and receipt. Our LLC document checklist helps distinguish this evidence from an EIN letter or an internal agreement.

Budget for publication before choosing a county

Most newly formed New York LLCs must publish a notice in two newspapers designated by the county clerk, once a week for six successive weeks. Complete the requirement within 120 days after formation and file the certificate of publication with the newspaper affidavits.

Item Planning treatment
Articles of organization $200 state filing fee
Newspaper publication Obtain quotes from the designated newspapers
Certificate of publication $50 state filing fee
Optional provider or agent service Separate quoted service cost

Do not substitute advertisements in newspapers of your own choosing. Missing publication can suspend the LLC's authority to carry on business until the requirements are satisfied. Follow the state's instructions for your facts.

Adopt the written operating agreement

New York requires a written operating agreement before, at the time of, or within 90 days after filing the articles. It is kept internally rather than filed with the Department of State. Use the operating agreement guide to prepare decisions about management, ownership and distributions.

For two founders, record who can sign leases and client contracts and which decisions require both owners. The state filing does not supply those commercial terms for you.

Finish federal and operating setup

After formation, request the EIN through the appropriate IRS route. Prepare banking documents and check activity-specific permits, sales tax and employer registration. Nonresident ownership does not remove these questions.

New York's current beneficial ownership disclosure FAQ distinguishes LLCs created under foreign-country law from US-created entities. Do not assume that a New York LLC is foreign-country formed simply because its owner lives abroad. Review the current scope separately from federal BOI rules.

Keep the company records current

Track the state's biennial statement requirement and update notice addresses when they change. Keep publication affidavits, the filed certificate, internal agreement and federal documents together. The annual report versus tax return guide explains why state updates and tax work remain separate.
