A Mississippi LLC annual report is due by April 15. A domestic Mississippi LLC can file its annual report without a state filing fee. A foreign LLC registered in Mississippi is different: the official services schedule lists a $250 annual-report fee. Secretary of State annual-report notice, services and fees.
The word foreign refers to the LLC's formation jurisdiction, not where an owner lives. A Mississippi-formed LLC owned by someone overseas is not automatically a foreign LLC for this filing. Start with the state record before selecting a payment route.
Mississippi LLC annual report: identify the fee category
| Company | State annual-report fee |
|---|---|
| LLC formed in Mississippi | No filing fee |
| LLC formed elsewhere and registered in Mississippi | $250 |
| Corporation or another entity type | Use that entity's own requirements |
A private filing service can charge for its work even where the state's filing fee is zero. That service charge is not a compulsory government annual-report fee. Mississippi has issued an official warning about misleading annual-report mailers, so check the sender and the service description before paying.
Prepare the filing information
Find the existing entity in the Secretary of State's business system. Check the legal name, identification number and reporting period. Review the principal business details, agent record and the management or member information requested by the current form.
Use your signed company records as the reference. A change of manager, agent or address may need a separate update depending on the field and filing instructions. The member-managed versus manager-managed guide helps explain why the management information should match the actual arrangement.
File directly and retain the accepted report
Follow the official annual-report workflow for the existing company. Review the preview and submit using an authorized person's information. Save a copy even if there is no payment receipt because the state fee is zero.
After processing, check whether the report appears in the company's filing record. Record the year covered. If a provider handles submission, ask for the state acceptance evidence in addition to the provider's invoice.
For example, a founder who receives a commercial renewal notice can compare its price with the direct filing route, decide whether assistance is worthwhile and still remain responsible for confirming acceptance. Free filing does not mean automatic filing.
Track missing reports and other obligations separately
If the entity is delinquent or administratively dissolved, inspect the missing years and restoration requirements. Read the LLC reinstatement guide before assuming a current-year report alone fixes the status.
The annual report is not an income tax return, sales-tax registration or local license renewal. Use the annual report versus tax return guide to build a calendar with separate tasks. Keep the accepted report in your company records folder so it can be found quickly when a bank or business partner asks for current entity evidence.
If your company is also registered in Louisiana, track its Louisiana annual report separately instead of applying Mississippi’s domestic no-fee rule there.
Keep this checklist with your company records. If you are planning a new LLC alongside these decisions, contact PrimeRegister to discuss the formation paperwork and service scope.
