LLC Changes and Closure
Remove a Member from an LLC: A Careful Exit Process
To remove a member from an LLC, start with the operating agreement, state law and the reason for departure. A voluntary sale, withdrawal, contractual expulsion and court-ordered removal are different routes. Deleting a name from a website or bank account does not by itself end ownership rights.

When the departure is disputed, obtain legal advice before taking steps that affect access, distributions or control. Administrative filings should reflect a valid underlying change, not be used to create one without authority.
Remove a member from an LLC: identify the legal route
Read the agreement's departure, transfer, expulsion and buyout provisions. Check the required approvals, notices, valuation formula and payment terms. Do not assume a majority vote can remove any member for any reason.
For example, Florida's dissociation statute identifies specific events that can end member status, including agreement-based and judicial routes. Other states and agreements can differ. Dissociation also does not automatically answer what happens to every economic right.
Separate membership, money and management
| Issue | Question to settle |
|---|---|
| Member status | What valid event or agreement ends the role? |
| Economic interest | Is it sold, redeemed, retained or otherwise resolved? |
| Purchase price | How is value calculated and paid? |
| Management authority | When does signing or decision authority end? |
| Obligations | What happens to guarantees, loans and confidentiality duties? |
A departing manager might remain an owner. An owner selling an interest might still have a personal guarantee unless the creditor releases it. Treat each relationship separately.
Document the agreed exit
For a consensual departure, prepare the appropriate transfer, redemption or settlement documents and required consents. Update the agreement and ownership schedule. Preserve the effective date and evidence of payment.
Avoid relying on an informal message saying “I am out.” It may not resolve price, debts, intellectual property, unfinished client work or tax allocations. The LLC ownership transfer guide covers sale-related questions.
Review the tax consequences before paying
An LLC taxed as a partnership may need allocations through the departure date and specific treatment of buyout payments. The IRS partnership publication explains that distributions, sales and retiring-partner payments can have different consequences.
If a two-member LLC becomes single-member, review the resulting classification and filing changes. Give the preparer the signed documents and financial records, not merely the final bank balance. Read LLC tax classification for the basic framework.
Update access and official records appropriately
Once authority and timing are established, coordinate bank signers, software access, agent contacts, licenses and required state records. Preserve business evidence and comply with any continuing record-access rights. Do not destroy documents or use account changes to bypass a dispute.
Notify relevant clients and vendors where contracts require it. Check whether the IRS responsible party changes and whether Form 8822-B is needed.
Close the process with evidence
Keep approvals, the exit agreement, payment records, updated ownership schedule and confirmations of administrative changes. Contact PrimeRegister to ask about available filing support after the legal transaction has been properly established.
If a departing owner later starts a separate business, our LLC formation gig on Fiverr (IncorpoDesk) provides a way to discuss its formation. Keep that new registration separate from the current company's exit agreement and settlement.
