US LLC from China: Registration and Funding Checks
Planning a US LLC from China? Start by checking the ownership, business activity and home-country position before ordering the US registration.

Planning a US LLC from China? Start by checking the ownership, business activity and home-country position before ordering the US registration. For a founder in mainland China, the first practical issue is often the lawful route for overseas investment and funding. US state formation does not approve a capital transfer from China. Settle that question before paying for a structure you intend to fund from a mainland account.
Keep mainland China separate from Hong Kong and Macau
This guide concerns mainland China. Hong Kong and Macau have different legal and financial systems, so do not use a provider's statement about a Hong Kong company as permission for a mainland resident's transaction.
Also distinguish an individual investing personally from a Chinese company establishing an overseas business. A corporate investment process is not automatically available to an individual founder, and the company's documents cannot simply be replaced with a personal passport.
The personal foreign-exchange quota is not general investment permission
SAFE's individual foreign-exchange guidance distinguishes permitted uses from capital transactions that are not opened under that personal route. The annual convenience quota is not a universal allowance to purchase or fund any overseas business. SAFE individual foreign-exchange guide.
Before sending money, describe the ownership, proposed activity, source of funds and payment purpose to the handling bank and an adviser familiar with outbound investment. Ask what permitted route, registration or approval applies to this exact transaction.
Do not label capital as travel spending, divide the payment among relatives, or use somebody else's identity to get around the review. Apart from compliance problems, mismatched payer and owner information can create difficulties in the LLC's banking and accounting records.
Do not assume SAFE Circular 37 covers every LLC
Circular 37 concerns specified special-purpose structures and related overseas financing and investment arrangements. Its existence does not establish that every mainland founder can fund an ordinary US LLC through the same process. SAFE Circular 37 publication.
Ask the adviser to explain why a route applies to your proposed business. If the answer depends on existing overseas assets, financing plans or an ownership structure, document those facts rather than copying a checklist from a different company's transaction.
Match the entity to the supply and sales chain
For an ecommerce business, identify who buys the goods, owns inventory, imports into the US, sells to the customer and receives payment. The US LLC's name should not hide a different commercial reality.
Product regulation, customs, sales tax and platform onboarding require separate reviews. A formation package does not automatically appoint an importer, approve a product category or authorise a payment account. Our ecommerce LLC guide helps organise the US-side operating questions.
Example: a Shenzhen seller testing the US market
Imagine a Shenzhen business wants a US entity for a new sales channel. Before forming it, the team writes down whether the investor is the existing company or an individual, identifies the funding route with the bank, and checks the marketplace's actual entity and owner requirements.
Next it maps the warehouse, importer and seller relationships. If stock will be held in a US state, that activity enters the registration and tax review. Choosing a remote formation state does not eliminate the need to examine where the goods are stored.
Build a consistent bilingual record
Keep the accepted Chinese and English versions of names, ownership documents and addresses together. Ask the bank and service providers which translations or certifications they require before ordering them.
This planning applies to founders in Shanghai, Beijing, Shenzhen and other mainland cities. The city name is less important than the actual investor, funding route and operating model. Do not proceed on the assumption that US acceptance resolves those home-country questions.
US LLC from China: the registration sequence
Once the structure and local checks are settled, work through these steps in order:
- Select the US entity and state. Account for actual operations, investors and continuing costs.
- Confirm the name and registered agent. Use accurate details and the official state filing process or a clearly scoped service.
- Obtain the accepted formation document. Check the effective date and legal name before using them elsewhere.
- Document ownership and management. Prepare an operating agreement matching the real members and their contributions.
- Apply for the EIN. Use the appropriate IRS route and genuine responsible-party information. The EIN application guide explains the no-SSN question.
- Apply for financial services. Use the provider's current eligibility and documentation requirements; approval is separate from incorporation.
- Assign ongoing responsibilities. Establish bookkeeping, state renewals, relevant US filings and the local work identified in the country review.
For the full US process, use the non-resident LLC registration guide. Check the first-year and renewal cost guide before comparing packages. Avoid comparing a state-only filing price with a quote that includes agent service and other work.
Keep a launch file for both countries
Save the ownership chart, formation record, agreement, EIN confirmation, banking correspondence, invoices and funding evidence. Add a short explanation of where the people, management and operations are located.
Record owner contributions and withdrawals as carefully as customer payments. Share the complete file with the preparers handling the respective jurisdictions. If facts change after launch, such as a new member or a US employee, review the plan again rather than assuming the original advice covers the change.
This guide was researched on 5 November 2026. Confirm the rules and provider requirements for the actual transaction date, especially for a launch planned in 2027.
For help with the US formation paperwork, contact PrimeRegister. Share the owner country, business activity and intended state so the service scope can be confirmed. If you prefer ordering formation assistance on Fiverr, review the formation gig and confirm its current inclusions before purchase. Home-country tax and investment advice should be arranged with an appropriately qualified adviser.
