US LLC from Germany: Registration and Local Checks
Planning a US LLC from Germany? Start by checking the ownership, business activity and home-country position before ordering the US registration.

Planning a US LLC from Germany? Start by checking the ownership, business activity and home-country position before ordering the US registration. For a founder in Germany, the US label “LLC” is not enough to determine the German tax result. Review the entity's legal characteristics, ownership and management before registration. A structure chosen for US convenience may create a different outcome under German rules.
Obtain a classification review of the proposed LLC
Give a German tax adviser the proposed state law, operating agreement, management arrangements and US tax classification. Ask how the entity and its income will be treated in Germany, including distributions and any foreign tax relief.
The German Finance Ministry's published inventory identifies specific guidance concerning the classification of US LLCs. That is a signal to obtain a document-based review, not to assume that every LLC is automatically a corporation or automatically transparent. BMF inventory of tax guidance.
If the adviser suggests changing the operating agreement, have the legal and tax consequences considered together. Do not download a generic agreement and assume that the entity's classification is fixed solely by its name.
Consider where the company is managed
Germany's corporation-tax legislation refers to domestic management or seat for the listed entities subject to unlimited corporate tax liability. Whether and how that applies to your LLC depends first on the correct entity analysis and facts. German Corporation Tax Act, section 1.
Describe where strategic decisions are made, who has authority, where records are kept and where the business operates. A registered agent in the US does not automatically move management out of Germany.
If you are managing the business from a home office in Berlin, tell the adviser. The goal is a structure that fits the real operation, not minutes or addresses that describe a fictional one.
Compare the existing German business with a US subsidiary
If you already have a German company, determine whether it or an individual should own the US business. Document any planned services, intellectual-property licences or transfers between the entities.
A US customer may be able to contract with the existing German business. Confirm whether a US entity is truly required before accepting another annual compliance workload.
For a startup planning outside investment, discuss the expected investor structure early. An LLC is not interchangeable with a corporation for every funding plan. The LLC versus C corporation guide sets out the US-side issues to discuss.
Example: a Berlin software team
Suppose a Berlin team wants a US entity for enterprise customer contracts. The team obtains the customer's requirement, considers corporate versus individual ownership and gives the proposed operating agreement to its German adviser.
The review also covers where development and management occur and how the German team will be paid. If the team proceeds, its contracts, invoices and books reflect that arrangement. A US formation certificate does not by itself relocate the work to America.
Prepare local and US compliance together
Ask about German business registration, VAT and tax reporting relevant to the actual activity. Do not assume a US address makes local obligations disappear or changes the place of supply of every service.
On the US side, identify the state requirements and the federal classification. Have the preparer assess owner transactions and applicable information returns before the first year ends. The foreign-owned LLC checklist is a useful preparation document.
Banking and document consistency
Keep the ownership chart, names, actual addresses and business description consistent across the state record, tax applications and financial-provider applications. Ask which translations or certifications are actually required before paying for them.
Budget for cross-border advice and annual preparation as well as formation. Founders in Berlin, Munich, Hamburg and Frankfurt can use this framework; city popularity is not a reason to select a particular US state or publish a different legal conclusion.
US LLC from Germany: the registration sequence
Once the structure and local checks are settled, work through these steps in order:
- Select the US entity and state. Account for actual operations, investors and continuing costs.
- Confirm the name and registered agent. Use accurate details and the official state filing process or a clearly scoped service.
- Obtain the accepted formation document. Check the effective date and legal name before using them elsewhere.
- Document ownership and management. Prepare an operating agreement matching the real members and their contributions.
- Apply for the EIN. Use the appropriate IRS route and genuine responsible-party information. The EIN application guide explains the no-SSN question.
- Apply for financial services. Use the provider's current eligibility and documentation requirements; approval is separate from incorporation.
- Assign ongoing responsibilities. Establish bookkeeping, state renewals, relevant US filings and the local work identified in the country review.
For the full US process, use the non-resident LLC registration guide. Check the first-year and renewal cost guide before comparing packages. Avoid comparing a state-only filing price with a quote that includes agent service and other work.
Keep a launch file for both countries
Save the ownership chart, formation record, agreement, EIN confirmation, banking correspondence, invoices and funding evidence. Add a short explanation of where the people, management and operations are located.
Record owner contributions and withdrawals as carefully as customer payments. Share the complete file with the preparers handling the respective jurisdictions. If facts change after launch, such as a new member or a US employee, review the plan again rather than assuming the original advice covers the change.
This guide was researched on 5 November 2026. Confirm the rules and provider requirements for the actual transaction date, especially for a launch planned in 2027.

Home-country tax and investment advice should be arranged with an appropriately qualified adviser.
