Planning a US LLC from Japan? Start by checking the ownership, business activity and home-country position before ordering the US registration. A founder in Japan should review the ownership interest, overseas transfers and Japanese reporting before registering the US company. The main questions are how Japan will treat the LLC and whether foreign-asset or transaction reporting applies, not simply whether the US filing can be completed online.

Review the LLC as a cross-border structure

Give a Japanese tax adviser the proposed state, operating agreement, ownership percentages and US tax classification. Ask how the LLC's earnings and later distributions will be treated in Japan. The US default classification is a starting fact, not a Japanese tax conclusion.

A person owning the LLC directly and a Japanese company creating a subsidiary need different analyses. If an existing business will license software or provide services to the LLC, document the commercial relationship and pricing before the first intercompany payment.

For a venture-backed business, assess the investor's required entity type. For a small service business, compare the extra compliance cost with continuing to contract through the existing Japanese business.

Check foreign-asset reporting and residence status

Japan's National Tax Agency guidance describes foreign-asset reporting for covered residents with overseas assets exceeding JPY 50 million at year-end, with an exclusion for non-permanent residents under the relevant tax definition. Check valuation, scope and the applicable year's instructions before deciding whether a return is required. NTA foreign-asset reporting guidance.

Do not confuse a tax definition of non-permanent residence with the ordinary meaning of a temporary visa. Provide your residence history to the adviser. Also ask how an LLC interest and its related accounts should be assessed, rather than assuming only a personal foreign bank balance matters.

Keep acquisition records, contribution dates, account statements and any relevant valuation calculations. Establish who will perform currency conversion and reconcile the Japanese reporting period with the US books.

Ask about overseas-transfer and investment reporting

Japan's foreign-exchange legislation includes rules concerning capital transactions and outward direct investment. That does not mean every small LLC investment needs identical prior approval. Ask the handling bank or adviser which notification, report or exception applies to the proposed investment. Ministry of Finance FEFTA text.

Describe the real business activity, intended country, amount and investor. A transfer for formation services and a contribution to the LLC are different transactions and should have appropriate records.

Example: an Osaka software studio

Suppose a studio in Osaka wants a US company for a new customer contract. The founders first check whether the customer truly requires a US entity. They then compare personal ownership with ownership by the existing Japanese company, obtain a tax review and confirm banking eligibility.

If they proceed, they maintain the US company's ledger separately and keep documentation for services supplied from Japan. The example does not imply that a US invoice moves the work or management out of Japan.

Choose the state using operating facts

If you expect a US employee, office or inventory, include that state in the analysis. If the business will remain entirely managed and operated from Japan, compare the administration and annual costs of the proposed state without treating its tax marketing as a complete cross-border answer.

The non-resident LLC cost guide helps separate registration costs from recurring preparation and reporting. Budget for the Japanese review as well as the US work.

Tokyo, Osaka, Nagoya and Fukuoka do not need different US formation instructions. What changes the advice is the business model and residence history, which should be recorded before the order is placed.

US LLC from Japan: the registration sequence

Once the structure and local checks are settled, work through these steps in order:

  1. Select the US entity and state. Account for actual operations, investors and continuing costs.
  2. Confirm the name and registered agent. Use accurate details and the official state filing process or a clearly scoped service.
  3. Obtain the accepted formation document. Check the effective date and legal name before using them elsewhere.
  4. Document ownership and management. Prepare an operating agreement matching the real members and their contributions.
  5. Apply for the EIN. Use the appropriate IRS route and genuine responsible-party information. The EIN application guide explains the no-SSN question.
  6. Apply for financial services. Use the provider's current eligibility and documentation requirements; approval is separate from incorporation.
  7. Assign ongoing responsibilities. Establish bookkeeping, state renewals, relevant US filings and the local work identified in the country review.

For the full US process, use the non-resident LLC registration guide. Check the first-year and renewal cost guide before comparing packages. Avoid comparing a state-only filing price with a quote that includes agent service and other work.

Keep a launch file for both countries

Save the ownership chart, formation record, agreement, EIN confirmation, banking correspondence, invoices and funding evidence. Add a short explanation of where the people, management and operations are located.

Record owner contributions and withdrawals as carefully as customer payments. Share the complete file with the preparers handling the respective jurisdictions. If facts change after launch, such as a new member or a US employee, review the plan again rather than assuming the original advice covers the change.

This guide was researched on 5 November 2026. Confirm the rules and provider requirements for the actual transaction date, especially for a launch planned in 2027.

If you prefer ordering formation assistance on Fiverr, review the formation gig and confirm its current inclusions before purchase. Home-country tax and investment advice should be arranged with an appropriately qualified adviser.

Frequently asked questions

Does every person in Japan with an LLC file a foreign-asset report?
No. Residence category, asset values and the applicable reporting rules matter. Review the current NTA instructions with a Japanese adviser.
Is a temporary immigration status the same as non-permanent tax residence?
Do not assume the labels mean the same thing. Tax residence has its own definitions and should be assessed from your history.
Do I need to travel from Japan to file the US formation document?
Many state formation processes can be completed remotely. Financial-provider requirements and permission to work physically in the US are separate matters.
Will registration guarantee a US bank account?
No. The provider reviews the actual owners, residence, business activity, documents and expected transactions.
Does the formation fee cover all ongoing compliance?
No assumption should be made. Obtain separate written scopes for state renewals, agent services, bookkeeping, US filings and any home-country work.
