Planning a US LLC from Singapore? Start by checking the ownership, business activity and home-country position before ordering the US registration. For a Singapore-based founder, an important distinction is between a foreign customer and foreign-source income. Receiving dollars through a US LLC does not, by itself, establish that the underlying work was performed outside Singapore or qualifies for a particular tax treatment.

Separate the source of income from the payment account

IRAS distinguishes taxable Singapore income from categories of overseas income. Its individual guidance describes a general treatment for overseas income received in Singapore with exceptions; that should not be expanded into a rule that all payments routed through a US company are exempt. IRAS overseas income for individuals, IRAS taxable income overview.

Describe what produces the revenue and where the work happens. If a founder develops software or supplies consulting services from Singapore, a US invoice and account are not enough to answer the source question.

Ask the adviser how the LLC itself is classified, who is treated as earning the income, and how later distributions are treated. Do not start the analysis by assuming the US disregarded-entity classification applies locally.

Choose personal ownership or a corporate subsidiary deliberately

A founder owning the LLC personally and a Singapore Pte. Ltd. owning it are different arrangements. IRAS has separate guidance for company income, including foreign-source income received in Singapore. IRAS company income guidance.

Before creating a subsidiary, identify how the companies will contract, provide services and move money. Which entity owns the product? Which entity pays the team? Is a transfer capital, a loan, a service payment or a distribution?

Keep the answer consistent in contracts, invoices and bookkeeping. Using the US entity's name merely to collect funds while another company performs every contractual obligation can leave important questions unanswered.

Decide whether the US entity solves a real problem

Ask customers and payment providers for their actual requirements. A customer may accept your Singapore company, or it may require a particular contracting entity. Obtain the requirement in writing before incurring a second company's recurring costs.

If the aim is venture funding, compare the proposed LLC with the corporation investors expect. If the aim is payment acceptance, confirm provider eligibility for both the entity and owner; incorporation alone does not guarantee approval.

Example: a Singapore-based SaaS founder

Suppose a founder develops a subscription product from Singapore and plans to bill US customers through an LLC. Before formation, the founder compares the existing Singapore business with the proposed entity and obtains a source-of-income and classification review.

The founder then documents who owns the software and how any Singapore team will be paid. US customer location is one commercial fact, but it does not automatically relocate development or management. The LLC for SaaS guide helps organise the operational side of that decision.

Prepare banking documents and a notice process

Keep ownership details, identification, actual addresses, business description and expected payment flows ready for the account application. Disclose the real operating model, including services provided by a related Singapore company where relevant.

Arrange how legal mail and tax notices will reach the person responsible for the company. A registered agent can serve a defined US role while the owner remains responsible for responding and maintaining the records.

Plan the ongoing work before launch

Request separate estimates for US formation, registered agent renewals, bookkeeping and tax preparation. Add the Singapore review and any local obligations identified for the chosen structure.

Use the global non-resident LLC guide for the formation sequence and the business banking guide for account preparation. The local classification and source questions belong before the final purchase decision, not as an afterthought once customer payments arrive.

US LLC from Singapore: the registration sequence

Once the structure and local checks are settled, work through these steps in order:

  1. Select the US entity and state. Account for actual operations, investors and continuing costs.
  2. Confirm the name and registered agent. Use accurate details and the official state filing process or a clearly scoped service.
  3. Obtain the accepted formation document. Check the effective date and legal name before using them elsewhere.
  4. Document ownership and management. Prepare an operating agreement matching the real members and their contributions.
  5. Apply for the EIN. Use the appropriate IRS route and genuine responsible-party information. The EIN application guide explains the no-SSN question.
  6. Apply for financial services. Use the provider's current eligibility and documentation requirements; approval is separate from incorporation.
  7. Assign ongoing responsibilities. Establish bookkeeping, state renewals, relevant US filings and the local work identified in the country review.

For the full US process, use the non-resident LLC registration guide. Check the first-year and renewal cost guide before comparing packages. Avoid comparing a state-only filing price with a quote that includes agent service and other work.

Keep a launch file for both countries

Save the ownership chart, formation record, agreement, EIN confirmation, banking correspondence, invoices and funding evidence. Add a short explanation of where the people, management and operations are located.

Record owner contributions and withdrawals as carefully as customer payments. Share the complete file with the preparers handling the respective jurisdictions. If facts change after launch, such as a new member or a US employee, review the plan again rather than assuming the original advice covers the change.

This guide was researched on 5 November 2026. Confirm the rules and provider requirements for the actual transaction date, especially for a launch planned in 2027.

Frequently asked questions

Does money paid to a US account automatically become foreign-source income?
No. The source and treatment of the income depend on the facts, including the underlying activity, taxpayer and applicable rules.
Is personal LLC ownership the same as ownership by my Pte. Ltd.?
No. The owner and structure affect the classification, reporting and movement of funds. Review both alternatives before forming the company.
Do I need to travel from Singapore to file the US formation document?
Many state formation processes can be completed remotely. Financial-provider requirements and permission to work physically in the US are separate matters.
Will registration guarantee a US bank account?
No. The provider reviews the actual owners, residence, business activity, documents and expected transactions.
Does the formation fee cover all ongoing compliance?
No assumption should be made. Obtain separate written scopes for state renewals, agent services, bookkeeping, US filings and any home-country work.
