Wisconsin LLC Annual Report: Deadlines and Fees

A Wisconsin LLC annual report keeps the Department of Financial Institutions, or DFI, informed about the company. Domestic and foreign LLCs do not use the same deadline or fee. For a domestic LLC, the report generally falls in the calendar quarter of its organization anniversary. A foreign LLC's annual report is due in the first calendar quarter.

Start by identifying whether Wisconsin is your formation state or a state where an existing company registered. The foreign qualification guide explains this distinction; it is unrelated to the citizenship of the owners.

Wisconsin LLC annual report: fee and timing table

LLC record Online fee Paper fee General due period
Domestic Wisconsin LLC $25 $40 End of the anniversary calendar quarter
Foreign LLC registered in Wisconsin $65 $80 End of the first calendar quarter

These amounts follow the DFI fee schedule. Confirm the filing year and final payment total in the official system. Optional services are not part of the ordinary state report fee.

Turn the quarter rule into a calendar reminder

For a domestic LLC organized in May, the anniversary quarter ends June 30. An LLC organized in November falls in the quarter ending December 31. The first report generally follows in the year after organization; use the company's official record to confirm the specific period.

For a foreign LLC, do not import the home state's anniversary deadline. Add the Wisconsin first-quarter deadline separately. A company operating across several states can have several reporting calendars even though it remains one legal entity.

Check the information before filing

Prepare the legal name, entity identification, principal-office details, registered-agent information and the member or manager information requested by the form. Compare the record with your actual management structure.

If a person has left the business, do not keep listing them just because last year's report did. Conversely, an annual report should not be used as a substitute for documenting a genuine ownership transfer. Follow the appropriate internal approvals and other required filings first.

Use DFI's official annual-report route, review the preview, pay and retain the acceptance. Record which year was filed. A service invoice without the state's confirmation may not show whether the submission was accepted.

Resolve missed years and keep taxes separate

If the company record shows delinquency or an inactive status, check all outstanding requirements before paying for the current report alone. See the LLC reinstatement guide for the difference between correcting a late filing and restoring a company.

Income, franchise and other tax obligations require a separate review. The Wisconsin state tax filing guide explains why an LLC's federal classification matters for that work. Store the annual-report receipt alongside the company record, and store tax returns with the financial records, so the two obligations remain easy to track.

Keep this checklist with your company records. If you are planning a new LLC alongside these decisions, contact PrimeRegister to discuss the formation paperwork and service scope.
