Wyoming LLC formation involves filing articles of organization, appointing a registered agent and organizing the records needed to operate the company. For a founder abroad, the decision should also account for banking eligibility, annual reporting and obligations outside Wyoming.
A Wyoming registration does not automatically make all business income tax-free or remove the need to register where the company has operations.
Wyoming LLC formation: fees and follow-up
The Secretary of State's articles of organization instructions list a $100 filing fee. Online payment charges and optional private services are separate.
| Stage | Record or decision |
|---|---|
| Before filing | Name, agent consent, addresses and management plan |
| Formation | Accepted articles and state filing details |
| Federal setup | EIN and classification review |
| Operations | Agreement, bank authority and bookkeeping system |
| Annual maintenance | Annual report, agent renewal and tax calendar |
Do not add optional services to the government fee and then present the total as the state's mandatory formation charge.
Choose a name and registered agent
Check the proposed name through the official Wyoming business search and read the current naming instructions. Availability in the state system does not guarantee that another business has no trademark rights.
Arrange the registered agent before filing. Confirm the exact legal name and address to enter, the required consent and the permitted uses of the address.
An overseas residential address cannot simply replace the Wyoming registered office. Your actual business location and correspondence address may nevertheless be different from that office, depending on the form's requirements.
The registered agent for non-US residents guide gives you practical questions to ask before buying an annual service.
Prepare and submit the articles
Use the official filing route linked by the Secretary of State. Review the entity name, addresses, agent details and organizer information. Pay attention to information that will become part of the public record.
After submission, retain the confirmation and obtain the accepted documents. Check the entity record for the effective formation details before using them in subsequent applications.
If a provider assists, ask for the final filed documents, not only an order-completion email. Keep independent copies and record which email address receives state notices.
Build the company's internal records
An operating agreement should reflect the real owners and management arrangement. Record initial funding and any expenses an owner paid on behalf of the company.
Apply for the EIN after formation using the accepted legal details. If the responsible party lacks an SSN or ITIN, use the appropriate IRS procedure rather than a nominee's number. Our SS-4 guide covers the application questions separately.
Before applying for banking, assemble the formation documents, ownership details, identification and genuine operating-address evidence requested by the provider. A Wyoming filing alone does not establish account eligibility.
Put the annual report on the calendar
Wyoming's annual report is due on the first day of the anniversary month. The annual license tax is the greater of $60 or 0.0002 of assets located and employed in Wyoming. Online processing charges may be additional. The Secretary of State's business FAQs explain the calculation.
This is not a calculation based simply on worldwide revenue. Maintain the records needed to identify relevant assets and use the official worksheet when completing the report.
For a company formed in October, build the reminder around October's first day in the following reporting year. Do not schedule it for the original formation day's anniversary.
Use the Wyoming LLC annual report guide for the filing workflow, asset worksheet and evidence to retain.
Check where the business really operates
Employees, offices, inventory and other activities outside Wyoming can introduce additional obligations. Review foreign qualification separately from state and federal tax analysis.
Likewise, a foreign-owned disregarded LLC may need information reporting even if it owes no entity-level federal income tax. Keep those filings separate from the Wyoming annual report and agent subscription.
