The correct process depends on the document's origin, destination country and the recipient's requirements.

Apostille for LLC documents: identify the exact request

Ask the foreign bank, authority or counterparty to name the document it needs. “Company papers” is too vague to order the correct certification.

State documents and federal documents follow different routes

The US Department of State apostille guidance distinguishes state-issued documents from federal documents. State documents generally go through the relevant state authority; federal documents use the applicable federal process.

Do not send a state formation certificate to a federal office simply because the company operates internationally. Likewise, a private document does not become state-issued merely because it contains the LLC's name.

The issuing authority's instructions determine whether an original, certified copy, notarized signature or other preparation is needed.

Check the destination country

The Apostille Convention applies between participating jurisdictions subject to its operation. If an apostille is not the appropriate route for the destination, an authentication or legalization process may be required instead.

Use the Hague Conference status table and the destination authority's instructions. Do not assume one apostille works for every country or every type of submission.

Ask whether the recipient accepts an electronic apostille or requires physical documents. Confirm translation requirements separately.

Prepare the document before ordering authentication

Check the legal name, entity number, issue date and document type. If the recipient wants a recent certificate of status, an old formation copy will not satisfy that request merely because it has an apostille attached.

Obtain the required certified document from the appropriate issuer. For a private agreement, ask what signature or notarization procedure the receiving institution requires and what the issuing authority can authenticate.

Do not alter an official document, detach required pages or add a simulated seal. Keep the completed certification attached as issued.

If the recipient asks for an LLC operating agreement, distinguish that private company document from a state-issued certificate.

Budget for the whole chain

Potential costs include the underlying document, apostille or authentication fee, private handling, translation and shipping. Processing times depend on the issuing authority and service route.

Ask a service provider to identify each stage and what happens if the recipient rejects the document type. An expedited courier does not necessarily mean expedited government processing.

Keep a reusable document record

Save scans, receipts, tracking details and the recipient's instructions. Record when the document was issued and where the original is stored.

Do not assume a previously accepted copy will remain acceptable forever. Some institutions impose freshness requirements even when the authentication itself has no routine expiry.
