LLC Certificate of Good Standing: When and How to Get It

An LLC certificate of good standing is state-issued evidence about an entity's status at a particular time. It is different from the articles that created the LLC and from an IRS tax document.

Before ordering one, ask the recipient which document it needs, how recent it must be and whether an electronic certificate is acceptable.

LLC certificate of good standing: understand the document

States use different terms, including certificate of existence or certificate of status. The meaning and ordering process depend on the issuing jurisdiction.

A request for one is not automatically satisfied by another. Clarify the requirement before paying for a document package.

When a recipient may request it

An existing LLC entering another state may need a recent certificate from its formation jurisdiction. A lender, counterparty or other institution may also request status evidence as part of its review.

The age requirement belongs to the recipient's process. A certificate obtained during formation may be too old for a later transaction even if the company's status has not changed.

For a recipient outside the US, check whether an apostille for LLC documents or another authentication process is also needed.

Check the state record before ordering

Search the exact entity and confirm the filing number. Review whether overdue reports, taxes or other record issues prevent issuance of the requested certificate.

If the entity is inactive or not in good standing, identify the actual reason and correction process. Buying another copy of the formation document will not resolve a status problem.

Keep state maintenance, registered-agent service and tax filings separately tracked. Paying one provider does not necessarily clear every outstanding state requirement.

For a Wyoming entity with an outstanding report, review the Wyoming LLC annual report procedure before ordering status evidence.

For a Delaware entity, check the Delaware LLC annual tax and account balance when investigating a status problem.

Use the official ordering route

Navigate through the issuing state's Secretary of State website. Compare the official fee with any private service charge and confirm whether the document is available electronically.

Wyoming, for example, warns that electronic good-standing certificates are available free from its official website. Its business-scam notice cautions businesses about paid solicitations. Use its online services page to find the official route.

That free example should not be applied to every state. Other jurisdictions and document types have different charges.

Check the issued certificate

Verify the legal name, entity number, issue date and requested certificate type. Preserve the original electronic file and any verification instructions.

Ask the recipient before altering, compressing or combining the file if it contains a digital signature or verification feature. An ordinary screenshot may not meet its requirements.

For overseas use, determine whether the recipient also requires an apostille, authentication or translation. Those are separate steps; a state status certificate is not automatically ready for every foreign authority.

Know the limits of good standing

The certificate does not guarantee profitability, creditworthiness or the absence of lawsuits. It also should not be treated as proof that every tax, license or regulatory obligation is satisfied.

Read what the issuing state actually certifies and use the document for that purpose. A buyer conducting broader due diligence will usually need more than a status certificate.
