New York LLC Biennial Statement: Deadline and $9 Fee
A New York LLC biennial statement is a $9 filing generally required every two years. The due month is the calendar month in which the LLC's original formation or application for authority was filed. Both domestic and authorized foreign LLCs are covered. It is not an annual report.

For an LLC, a central purpose is keeping the address for forwarding service of process current. Do not copy corporation-specific officer fields from a different entity's checklist. Start with your own Department of State record and the LLC filing instructions.
New York LLC biennial statement: identify the right cycle
Write down the original filing date, the DOS identification number and the statement period shown in the state system. For example, a company originally filed in October follows an October anniversary-month cycle, not an automatic December or April schedule.
The official biennial statement instructions explain the filing window and online eligibility. If the system does not offer the period you expected, investigate the record rather than submitting a new formation application. A late statement and a newly formed LLC are different matters.
Prepare the address and authorization
| Detail | Practical check |
|---|---|
| Legal name | Match the state's spelling and entity suffix |
| DOS ID | Avoid selecting a similarly named business |
| Forwarding address | Confirm someone can reliably receive legal correspondence |
| Filing period | Select the correct two-year cycle |
| Signer and payment | Use an authorized person and save the confirmation |
A mailing address that was convenient at formation may stop working when an owner moves or changes providers. Ask the recipient to confirm the service before using it. Our registered agent and business address comparison explains why different address fields should not be treated as interchangeable.
Submit, save and verify
Use the Department of State's filing route, review the displayed information and retain the completed statement and receipt. After processing, check whether the record reflects the submission. If the online route cannot handle your situation, use the Statement Unit contact instructions on the official page.
Keep a short note recording who submitted it and which address was checked. That makes the next cycle easier, particularly when an external provider does the filing. Put the next reminder in a shared calendar rather than relying on one person's inbox.
Keep formation, tax and biennial tasks separate
New York publication requirements belong to the formation process; the biennial statement does not satisfy them. Review the New York LLC formation guide if that earlier step is incomplete.
Likewise, a state tax filing is not replaced by the $9 statement. Use the annual report versus tax return guide to organize separate filing evidence. If your business is registered in additional states, record their deadlines separately. Two states can use similar words while requiring different information, fees and filing cycles.
For a company registered in several states, compare the separate North Carolina annual report and New York biennial-statement records when building the calendar. The different filing cycles should remain separate.
Keep this checklist with your company records. If you are planning a new LLC alongside these decisions, contact PrimeRegister to discuss the formation paperwork and service scope.
