Register a Company in USA from India: 2027 Planning Guide

You can generally register a company in USA from India without moving to the United States.

You can generally register a company in USA from India without moving to the United States. For an ordinary business, a US LLC can be a practical option, but the state filing is only one part of the job. Before paying for formation, confirm how you will fund the company from India, how both countries will treat its income, and whether your intended banking provider will accept the business.

This is a 2027 planning guide based on sources checked on 5 November 2026. It does not assume that today's fees, forms or proposed changes will remain the same throughout 2027.

Register a company in USA from India: the right order

Start with the business model, then the ownership and funding route, and then the US registration. Reversing that order can leave you with a company you cannot fund or use as intended.

Stage Decision to settle Record to keep
Business purpose Why a US entity is needed Customer, platform or investment requirement
Indian review Who will own it and how money will move AD bank instructions and tax advice
Entity and state LLC or corporation; actual US operations Written choice and cost comparison
Formation Name, agent and filing details Accepted state document
Company setup Ownership, management and EIN Operating agreement and IRS confirmation
Banking Eligibility and genuine business address Provider approval and account records
Ongoing compliance US and Indian filing responsibilities Calendar and named responsible person

Decide whether you need a US company at all

A US customer does not, by itself, mean you need a US entity. First ask whether your existing Indian business can sign the contract and receive payment through an available route. The extra company should solve a real problem: a contracting requirement, a carefully assessed platform need, a US operating presence or an investment plan.

For example, a designer in Pune serving two American clients may gain little from a second entity if those clients already accept the Indian business. A software company negotiating institutional funding may have an entirely different need. These are planning examples, not promises about banking or investor acceptance.

Choose an LLC or corporation deliberately

The IRS explains that LLC ownership can include foreign persons. Federal tax treatment also depends on ownership and elections; the letters “LLC” do not describe one universal tax outcome. IRS LLC overview.

An owner-operated business and a venture-backed startup may need different structures. Before committing, compare LLCs and C corporations. Do not select an S corporation on the assumption that it is simply a cheaper version: nonresident alien shareholders are not eligible. IRS S corporation eligibility.

Check the Indian funding route before you transfer money

An Indian passport, Indian tax residence and residence under FEMA are different questions. Describe your actual residence and ownership circumstances to your adviser and bank.

The RBI overseas-investment framework governs relevant investments by persons resident in India. Ask an authorised dealer bank how the proposed LLC interest, contribution and subsequent transfers should be classified. The current Master Direction should be read with the Overseas Investment Rules and Regulations. RBI overseas-investment direction.

Do not treat the Liberalised Remittance Scheme as blanket permission for any foreign investment. Its aggregate limit and the eligibility of the transaction are separate checks. A resident individual and an Indian company do not use identical routes. RBI LRS direction.

Keep formation-service payments separate from money contributed as ownership capital or advanced as a loan. The invoice, remittance purpose and accounting entry should describe what actually happened. Our India overseas-investment checklist expands this stage without turning it into a US state-filing tutorial.

Choose the state around the business

If you will have employees, an office, inventory or other meaningful operations in a US state, review that state's registration and tax position first. Forming in Wyoming does not make operations elsewhere disappear.

For a remote business without a US operating location, compare ongoing costs, administration, legal needs and provider support. Use the Wyoming versus Delaware guide as a decision aid, rather than assuming either state is best for every Indian founder.

A US registered agent receives legal notices in the formation state. That address is not automatically an acceptable operating address for a bank. Keep the agent, mailing and actual business addresses clearly distinguished.

File the LLC and document who owns it

Check the proposed name with the state, appoint the registered agent and submit the formation document through the official process or your selected service. Review the accepted filing for spelling, effective date and entity number.

Next, prepare an operating agreement that matches the real arrangement. For co-founders, cover ownership percentages, contributions, management authority, profit distributions and what happens if someone leaves. An Indian parent company owning the LLC is different from two founders owning it personally.

Your records should include the accepted state document, agreement, ownership register, receipts and decisions authorising material transactions. See the LLC formation document checklist.

Apply for the EIN using the appropriate route

The EIN identifies the business for federal tax administration. It is not a bank account, visa or business licence. The IRS does not charge a government application fee. A provider may separately charge for preparation or assistance. Use the current IRS EIN application guidance.

Do not enter an invented SSN or nominate someone who is not the real responsible party. Applicants without a US tax identification number should follow the applicable SS-4 instructions and eligibility rules. Our EIN without an SSN guide explains this question separately.

Prepare for banking before promising a launch date

Ask providers about the owner's country of residence, business activity, expected customers, source of funds and address requirements. A US certificate does not guarantee account approval or payment-processing access.

Build a consistent application file: legal name, EIN, ownership details, identification, genuine residential and business addresses, website and a clear description of what you sell. For preparation, use the non-resident business banking guide.

If an application is declined, investigate the stated reason. Changing the story, borrowing another person's address or concealing the real owner is not a sound business solution.

Budget for the work after formation

Your budget should separate government fees from service charges. Include the registered agent renewal, bookkeeping, US tax preparation, Indian advice and reporting, payment costs, and any state registrations triggered by actual activity.

Ask the formation provider what is included in year one and what renews later. An inexpensive initial package can still create a substantial annual workload. The non-resident LLC cost guide sets out a practical first-year and renewal comparison.

Create a two-country compliance calendar

Do not assume that no US income tax means no US paperwork. Foreign-owned single-member LLCs can have Form 5472 reporting when relevant owner transactions occur. Review the foreign-owned LLC tax checklist with the preparer who will handle the actual filings.

In India, examine tax residence, income classification, foreign assets, foreign tax credits and any applicable business or GST obligations. The location of the bank account does not settle where services were performed. Our US LLC tax guide for Indian residents explains the questions to take to your accountant.

For 2027, verify the forms for the actual tax period. India's e-filing portal now lists Forms 145 and 146 under the new framework; older articles that mention only 15CA and 15CB need a date check. Their applicability depends on the remittance, not merely on owning an LLC. Income Tax Department forms.

Your next practical step

Write a one-page plan covering the owner, business activity, customers, working location, initial funding, intended bank and annual compliance budget. Have the Indian funding and tax questions settled before placing the formation order. That makes it much easier to buy the correct service and avoid paying twice for a structure that needs changing.

For help with the US formation paperwork, contact PrimeRegister. Share the owner country, business activity and intended state so the service scope can be confirmed. If you prefer ordering formation assistance on Fiverr, review the formation gig and confirm its current inclusions before purchase. Home-country tax and investment advice should be arranged with an appropriately qualified adviser.
